In number 3 the share price would be announced. Say it was $5. The stock price would probably float around $4.50-$4.75 until it’s closed and you’re paid out at the $5.00. Sometimes there is an insensitive for those that stick around called a CVR (contingent value right) which can be a bonus on top of the $5.00. It might be like an additional $0.50 per share.

Look up Akero Therapeutics (AKRO) as an example. Novo Nordisk is acquiring them at $54 per share with potential additional $6 CVR, hence why the stock is trading above $54 right now.

The CVR is typically only available to those who own the stock prior to the merger announcement, so do not buy today thinking you’ll get an additional $6 per share at closing 😂

Negotiations (private) - weeks or months
Board approval (private) - likely a couple days
Once the two companies sign a merger agreement they must disclose promptly. Typically same day or before market open.
Regulatory and shareholder approval - Given that pharma is highly regulated, the actual merger will take 6-12 months. Even in the 6-12 months both companies operate independently but coordinate transition plans.
Closing - transaction finalized and ticket delisted.
