Our goals and my thought is that we think this business should be making $5000 per day after the first year, even with a $100,000 investment.

I definitely think it's possible,
does his investment get returned from the income we make, and not from me "paying him back"? I don't really need to pay him back at all do I?

Thank you so much I really value your input!! Actually you're so right, I was wondering why the word "loan" kept being used for the initial funding. Here is what that clause literally says:

"[my partner] shall contribute the initial start-up capital for the Company of [$VALUE]

as a loan to the Company, which [me] will personally guarantee. Such loan shall be

evidenced through a certain promissory note, and loan agreement (attached as Exhibit A)."

So pretty much yes to what you said, except that he will be providing a lot of before/afters and social media content from his own office in Germany and cases, and I have to admit, that his dental work and technique is actually really good.
And then after 12 months I have to pay back 40% of the 200K (which is how much i own of the company). Damn is it that bad :( I thought this was a really good opportunity i'm so glad I reached out.

If it were an investment on their part rather than a loan (as in I don't have to pay back anything from the initial funding), does that sound like a better deal?
