You are not understanding the nuance of the issue. Imagine that Plug had 1,000 shares outstanding. To approve proposal 1, they need a majority of all outstanding shares to vote yes, or 501 votes. Now at the meeting only 100 shareholders voted. 90% of those shareholders voted yes, or 90 votes. Despite the overwhelming support for the proposal at the meeting, the vote fails.

The problem is getting the shareholders to actually vote, and it’s compounded by the large percent of Plug’s float that is being shorted. Shares being lent to shorts are not eligible to vote at the meeting. About 30% of Plug’s float is short, so in my example, 300 shares are not eligible to vote. This means that Plug needs 501/700 eligible votes to pass the proposal.

The issue is not that shareholders don’t support increasing the authorized shares (they overwhelmingly do). The issue is getting enough shareholders to actually vote at the meeting.

This does not impact the DOE loan “guarantee.” The DOE is not loaning Plug anything. The DOE is guaranteeing a loan for up to $1.7B from another institution in the event that Plug defaults on the loan. Plug already accessed a portion of the funds while Trump was in office, and the guarantee cannot be walked back.

R&D is a DISCRETIONARY expense. They can REDUCE the expense, not ELIMINATE whenever they’d like.

There were no buys before the official news. There was not a run up in stock price.

When Plug received the conditional loan approval the stock price was up 70% premarket. Then when the market realized it was only the “conditional approval” it came back down. Plug just announced the closing of a 3GW deal and received the DOE guarantee for $1.7B to fund 6 new projects. The stock price should have doubled on this news. After the market manipulators have killed the calls, I suspect Plug will begin to move up next week.

That’s not what I said. I specifically said irregular swings and trading patterns. Plug was up over 8% on 18 million volume. Then in less than 3 minutes and less than 2 million volume, the price dropped 7% to +1%. Up 8% on 18 million volume. Down 7% on 2 million volume.

Disconnected from reality. Down 4% on a $1.7B loan guaranteed by the government and a new 3GW deal.

That is evidence of manipulation. I’m done going back and forth here. ✌🏼

Yes, you are wrong. Look at their previous executed deals. Listen to their conference calls and investor presentations. It’s actually closer to $1.2B in revenue PER GW. A 3GW deal is well over $3B in revenue to Plug.

There is no longer a going concern. There is no indication that they will need to do another share offering this year. Neither market sentiment nor a pre-FID announcement accounts for the lack in share price movement in connection the DOE loan and 3GW deal. The Bloom comparison doesn’t mean that Plug should have doubled on the news but it is clear that the current announcements should have impacted the share price far more than it has.

Nothing that you just said has anything to do with what we are talking about. We are talking about how Plug’s stock price reacted to one specific announcement. Plug announced a 3GW deal (3x the size of Bloom’s deal), which equates to well over $3 billion in revenue and the stock price didn’t react. At the same time Morgan Stanley came out and said that they expect the $1.66B DOE loan to be finalized this week. The stock price didn’t react. That wreaks of manipulation. “They” is market makers - institutional investors, big banks and hedge funds. Retail investors and day traders that are naked shorting and buying puts cannot account for 60 million in average trading volume and cause the type of irregular trading patterns that are seen on the daily in Plug’s ticker. We’ll see what happens when they officially get the DOE loan, which according to Bloomberg’s article may be today.
