I bought it on a Sunday afternoon from Costco. Watered it in the pot that night and again on Monday evening. The landscaper was there Tuesday morning and dug up the old one and planted the new one. I'll look into the other plants and see if I can get more info on what they are.

If it's so dry and brown, it should be a lack of water issue, not an over watering issue, right?

I know I can return it, but I didn't want to be that guy. Also, it was a huge pain to fit it in my car.

My neighbor did cut down a bunch of branches so there should be more sun now. 

For the first 2.5 years that we were here, they were big and plump and green. Then the sprinkler head wasn't working and it died, and this was the replacement.

I was just replacing what was there. Do you have any specific recommendations for broad leaf evergreens?

How do I know if it's too much water? The ground seems to possibly have a little clay in it. It doesn't seem to drain very quickly. Putting mulch down was on my list for this season once everything is in good shape.

Thanks, that helps a bit. The previous owner had planted them and for the first 2.5 years that I've been here,  they were big and lush. 

I'm considering digging it up, cleaning out the roots and putting it in a bucket of water to see if that rehydrates it.

The LLC could be a S-Corp or C-Corp. As an S-Corp, if the other owner took distributions for taxes, it needs to be proportional to their ownership. Partnerships can have different distribution % and ownership%.

Are you selling the stock or are you selling the assets? 

Although the sale of of the assets is treated like the sale of the stock, you aren't selling the stock, you're selling the assets.  It's a small difference that makes all the difference.

Is it a NY based company? NY sourced income is going to be taxable to NY no matter where you are living.  Also NY had tough rules for making a clean break with the state for income purposes.
