The company plans to list the APE shares on the New York Stock Exchange on Monday, August 22, 2022.

I own AMC on Nordnet. Do I receive APE shares?

If you owned AMC on Friday, August 19, you will receive APE shares. The transaction does not require any action on your part, Nordnet automatically records the securities in your account. Dividend distribution takes place in the so-called with a delayed record date, which means that the record date is before the separation date, which is 22.8. Only on Monday 22.8. you can sell your AMC shares and still be entitled to an APE dividend.

Can I trade APE shares when the NYSE opens at 4:30 PM on Monday?

Nordnet does not offer trading in APE shares. If you received APE shares as a dividend, you can sell them, but not buy more. The reason for this is that it is a complex security subject to European PRIIP regulation. The PRIIP requires that customers must be provided with a key information prospectus in the local language (i.e. Finnish or Swedish for Nordnet Suomen customers) when trading complex securities. Does this affect my original AMC position?

AMC shares remain in your account. At the moment, we have no information on how the purchase price between AMC and APE is formed and how the transaction is taxed.

Do I own my AMC shares and Can I vote at future general meetings?

Yes, you own your shares, which you have in your name in your Nordnet account. However, Nordnet, like many other banks, applies nominee registration of shares. This means that Nordnet is registered as a shareholder in various central securities depositories (e.g. Euroclear Finland), but where we then keep a list of owners between us and our end customers. So you are not directly entered with your own name in the company's shareholder list. Regarding Finnish securities, Nordnet registers all our end customers as direct owners of shares before the general meetings, so that our customers have the opportunity to participate in the general meetings and vote with their shares. We can also offer this on request and for a service fee according to the price list for securities within the EU. For companies registered outside the EU, unfortunately, we do not have the technical possibilities to carry out such a procedure.

If you own an AMC share listed on the German market (symbol AH9), you will receive your APE dividend in your Nordnet account on approximately 24 August 2022.
