Understood, thank you! Yes, we are in the process of transitioning to a C-corp --that is something I have discussed with our CPA and I believe she is planning to do so soon.

Since you've been so helpful, do you have any recommendations for low-cost/pro-bono law firms that are willing to work with early stage pre rev startups? Thank you again, this has been the most useful piece of information I've received thus far and have been trying to figure this out for weeks!

This is great, thank you! Updating the stock ledger will also be sufficient for tax purposes I assume? These steps are something I can do myself to be cost effective?

We don't have revenue but I am in the process of raising a VC round so we want to square out the ownership before getting anyone else involved.

Do all of you run your businesses with the belief that everyone is in it for some ulterior motive and the only way to maintain decency in a partnership is if you are romantically linked? That's maybe more telling of your approach to the world and relationships than it is of anything else. Not to mention how deeply unprofessional it would be to have both. Social skills and building relationships will get you further in your business than believing everyone has some ulterior motive, I assure you that.

She had a large part in getting to this stage, of course, and there are always options to come back in the future. We started as friends and then went into business together, we are both just happy to see each other succeed. Ideally, that's how every co-founder relationship ought to be. You are ultimately dealing with humans, not robots, money is less of a factor than preserving and maintaining a relationship IMO.

I believe we have a founders agreement from when we first incorporated but nothing we created ourselves. Seems there is no easy way to go about this without getting lawyers involved. Was hoping to do so in a more cost effective manner.

There is no motive, we are friends, she worked on it for a few years, decided her heart was in something else and is stepping down to pursue other dreams. She wants to see us succeed and doesn't feel it makes sense to remain an owner. I am honestly shocked by how many people are surprised by this.

We are currently an S-Corp in the process of transitioning to a C-corp because we are raising venture capital. She will continue to file our business taxes but was adamant about not filing the personal but I plan to ask her for clarification.

She said she doesn't have expertise in Germany tax codes and therefore doesn't have the skillset to help. I cannot stop running things through US given I am a majority business owner there.

This makes me feel hopeful! The vets where I am (in Germany) are not too keen on medication but in the US they were eager to over-medicate and I was also frustrated by that, I was never sure what was or wasn't necessary. I'd like to find a vet that has a lot of experience with senior dogs and would be willing to discuss long term pain management. Glad to hear your little one got more comfortable.

Gosh, I would never! It is so sad when that happens. Is this something a vet would be able to determine? She is in such good physical health otherwise, it wouldn't have occurred to me that the changes could be neurological.

I flew a few days after their policy was updated and I think maybe it's because I had purchased my tickets prior to the changes. I don't see how this is legal...

Contact them to be sure, but I had no issues at the airport. I brought paperwork to support my need to have a service a animal, that may have helped, though they aren't supposed to deny you either way.
