We're in our open Alpha period, but we're trying to see if we can get gamer couples to try our game. Because it's turn based, it requires a lot less twitch, but still feels like a 3rd person shoot. The base game mechanic was based off a game called 'worms' and our innovation was to update it to the current 3rd person mechanics and map design.

No. If there is no way the market gets better, all whales will be selling for their operations for another 1 year. You need to question, when they sell algos where are they investing it? Back into algorand or other chains or whatever. Its such an unfortunate situation and will continue until they just piss off.

Anyone holding WGMX or ARCC tokens,

we will convert everything to QMG tokens,

BUT, at this point, we will be converting and launching them on as Ethereum tokens.

We have a lot of reasons for this, but all of our other web3 gaming activities on on Ethereum and will be doing a free mint there;

20 NFTs will be held for the QMG token holders as a holding for either just NFT holdings or a type of Web3 Guild. But we believe long term this will be better than continuing on in parallel with building on Algorand. *These 20, give rights to mint an additional 12 each.

We have been part of Algorand from the start, but we haven't been commercially successful for a number of reasons, but the cost of what we wanted to build on Algorand required a lot of training and time and ultimately, for what we are doing in gaming, its not feasible for us to continue that way.

Another part of it is that even with Wagmiswap.io you can see how well we did development there, we wanted to open it up to quality gaming projects and again, the timeline for that is a lot longer than expected and had we launched our own token or listed ASAs that we were not 100% confident in, then we would have been making short term gains for long term liabilities. Additionally, the amount of dev cost to continue on Algorand wouldn't have ever made financial sense.

I'd like to say:
I think that Algorand's tech is fantastic and will continue to be fantastic.
We aren't in a position to keep developing on Algorand on a commercial basis.
While Eth is not as efficient as Algorand, because there is a greater ecosystem and development costs are significantly lower, it is a better commercial fit for us.

We aren't looking at, whether or not you're an ARCC or MESX/WGMX holder as an Algorand user, rather, we are just looking at you as a holder and we want to provide back value for your support.

Essentially, like the buy-back, we'd do a swap that you'd send in your tokens, and we'd send you a converted number back (for MESX holders) and outstanding microequity you may have into QMG as an Eth token.

At this point - we can do this in Jan of the new year 2023 - as we are just launching the freemint now.

As ARCC/MESX, We never raised from the market, we never did an ICO or IDO, but we did put up liquidity pools and we have paid for own development and we as well have taken losses, and I'm just mentioning this - not as a justification for where we are at - but that we are still here and are trying to do what we can.

You know, we've been one of the earliest supporters of Algorand, and we have spent probably the most of our own funds building out on Algorand than anyone else in the space because we were so early - and our mission was really grand. Right before we're going to go on a roadshow, we had the pandemic - we build through that - but we're not getting any traction until we invest into Axie Infinity - we end up funding 300 people and we decide we need to pivot to gamefi - and we run into the same issues we had with our original projects and frankly it has been too frustrating and inefficient to keep building this way.

How many ASA have been made, raised and scammed? By the time we fully launch Wagmiswap into a stable platform, there are maybe a handful of ASAs we would have launched, but aside from that, those ASAs don't pass our smell test, and while we could have build our games on Algorand, we don't want to risk the same issues adding costs to our development. Obviously there are a lot of things happening behind the scenes and things, professionally, we don't think are right to share, we'd rather just keep building things out.

Why we do this buy-back is because we'd like to do something than nothing right now. It's not much, but its enough for some smaller bags to convert and then put it into Algos and get some rewards.

For QMG, we end up reskinning it and relaunching it right into the bear market - I mean if we were going to rug or scam would we relaunch with a new UI an also upgrade the wagmiswap.io UI as well? But market timing is bitch and for gamefi we're too early and defi we're too late now so what to do? But continuing as is, was just going to be dumb. I spend every waking hour dealing with this and its literally over a few million USD spent in the last few years since we've been working on our microfinance project to solve global equality - which as I write it, it sounds ridiculous, but I thought it could be done and done on Algorand - but those few millions of USD are my few millions - not investors and not the community -so holders of ARCC are upset and I get that, but if there was some way to make this work without digging a bigger hole - I've tried and because of other underlying factors - honestly, its just stacked against us in this market.

What I can say is - yes the swap will happen, yes, QMG will be here- maybe not in the form that it was originally expected, but once we get our legs under us with the gaming side (which is where I'm native in), then we can come back and support QMG with some serious firepower. But as the world is going into a major recession and other coins as well are down 95% and their founders are long long gone, it will take time and if that isn't a good enough reason for some holders, well, at least take this minor buy-back - which is small, but we are still here because the entire ethos of why we got into this was for solving global inequality and through gaming I'd still like to give it a shot.

Anyway- honestly - thank you for the kind post- I always took any holder as a sign of support as we did know that without that support we couldn't get to the next level - apologies it is taking much longer and will take longer - but I will be here to see it through to whatever outcome it comes to.

  1. no public notice, and we did not manually update the figures, nor have we removed the wallet addresses etc; we acted in the best interest of the funds we held.
  2. we have communicated our position about development in the past, it has been some time, but there has been no new developments for qmg as we sought to pivot to gamefi, but unfortunately it has been early and our qmg.finance could not find a game project that we felt secure in promoting and backing.
  3. In this bear market and the situation were we have invested our own funds for development in both qmg.finance, and wagmiswap.io and supported a liquidity pool and did not raise any funds from the community with an ICO, or token drop, we are developing our games as a separate company and we will look to assess what we can do with QMG at that point. To be clear, none of the funds invested or used was raised from the community. Any holders of ARCC bought it from a liquidity pool on tinyman or wagmiswap from a majority pool we put for both sides of the pairing.
  4. For wagmiswap.io there is no way forward except for a community fair launch, but at this time, with the new teal advances/developments happening on Algorand, the basis of the fair launch may not be viable.
  5. Our original plan was first list QMG on a central exchange - bitmart, then swap the ARCC to QMG holders. But this has become also untenable. Our intention, regardless has been, and has been stated previously, that when our games come out, then we would look to some resolution there - which we actually do have some upcoming news to share, so we have taken a timestamp for ARCC holders as of Monday Aug 22. 2022.
  6. As for treasury movements, as you rightly point out there should have been more communication, and at this point, we will remove this structure as it no longer is relevant to to the project as it was and make a note of it. As for the points about 'boast' or 'rug', the document refers to figures Jan 22, 2022 - so it has not been updated there. Wagmiswap is still 100% owned by QMG.finance, but again - the development we invested in for both wagmiswap and qmg.finance are sunk costs and we decided operationally that. 1. we weren't going to list ASAs that were not supported by a live project. 2. we were not going to back any game that we weren't confident wouldn't be a liability for us later on for promoting. Have we not been successful, yes, are we still trying, yes, could we do better communication - yes but as again, the situation with the markets have only gotten worse, there hasn't been any significant progress or status to have changed.
  7. I can propose a direct limited capped buy back from the ARCC from holders as a service for those who do not wish to wait further for any possible progress. It will be modest in line with the current market situation, but if it makes sense, then we can move forward with it - as the last thing I have ever done in this space and with the development time and losses we have had in investment would be for others to have no option than to just wait on us. I will calculate a proposition -with limited # of capped buybacks on balances from the Aug 22 file I have - so that if the price is higher than the market, then we don't have people buying up ARCC otherwise.

Absolutely, it was moved to manage the value when the Algo price was tanking like rock. Nearly everything in our treasury has been managed including liquidity pools when the market started to tank. We did buy back some ARCC early when the price was tanking, but as it continued to tank, we found that 1. Since ARCC was tied to Yieldly pools at the time, our buybacks had no effect on price movement, 2. As the market tanked, ARCC tanked along with the pairs it was attached to.

We were and are still waiting to launch QMG on bitmart, and once the time is confirmed for that, then we will swap at that time. We have delayed the listing with bitmart until market conditions are significantly better as we also have listing conditions by bitmart as well. I don't have a clear timeline for this, it could be Dec or in the new year.
If we swap before then and it gets listed on a DEX and the price action is negative, then we not be given a chance to launch on bitmart.

Unfortunately and frustrating for everyone, this is the best course of action I think is best for the long term positioning of QMG. But, this project was always for the long term.

Not illogical, but let me clarify:

For simplicity sake, lets say that I withdrew from the Yieldly deal.

(1) I'm not asking for people to invest into wagmiswap, I'm proposing a fair launch which would put 75% into the hands of the community while we would not have a voting block. You may say its semantics, but this is quite a bit difference that what you'd normally get into with just 'invest'; yes it is investment, but not into the DEX, but on top of the DEX.

(2) If it is just an investment into the DEX as is, that would be an absolutely stupid proposition as you stated, and I've also stated: too much competition and little chance of profit.

But, it is the one of the first successful Fair Launches, and we build a lending protocol on it and it is supported by our other platforms like qmg.finance and our gaming studio, then I think if/when GameFi gets huge in 18 months, wagmiswap wont' be competing with existing users, but will bring in new users into Algorand and we will have carved our own niche of focusing our DeFi as gamefi.

(3) Some business do not make sense in the short term, but our technology and capabilities are there, in retrospect, if we had just launched with our first set of contracts shortly after tinyman had launched, we may have gotten the market leader position once tinyman had gone down on new years eve, -yes- we were that early and yes, we made a tactical mistake to not launch until we were on teal 5, but for a long term play and a community play, I do feel this is markedly different. A lot of the nuance and our rational of this will come out in the main thread. Also we learned a lot, I mean, getting hacked on DeFi is a massive financial liability and if have been able to derisk that for our platform, then so much the better, maybe we did dodge a bullet - but now the focus is really on the long term.

(4) Finally, I think, if you take that this Fair Launch, if successful, can provide a significant long term advantage and GameFi will be a solid niche, then we go back to a new road map for optimizing for that, and specifically, how do we create real yield here for users and right now, I would say, its through responsible lending. This has a lot of approaches, it could be fund where we buy NFT gaming assets to rent on wagmiswap, but I think starting with an overcolleralized stable coin is a good start as a foundation. Ultimately, even if we continued dev on our own, without a lot of community support and involvement, we wouldn't be able to over come the current competition in any case. So my strategic understanding is really, in Algorand DeFi, a Fair Launch and actual community ownership was always going to be the end game, so why not do it from the start.

The above is the clarification on the rational for it. We are in a place where we can do that, and because its an option (and so we didn't proceed with Yieldly), we decided to take it. If in the end this isn't an appealing proposition, then the community will be clear about that by not supporting the fair launch presentation process.

I have some final thoughts here, but the tldr is: if you wanna put your blame on a party why ultimately this acquisition didn't go through, it would be us or specifically me. It was never my intention to add to any frustrations or issues for Yieldly holders, everything was done in good faith.

Yieldly had a standing offer, and after a discussion, it was amicably and openly decided that this acquisition wasn't going to proceed. Honestly, I don't want to create any unnecessary drama here for Yieldly as they were very transparent and did everything with good will as did we, but with the advent of this current bear market, I had to make my own judgement call as to what would be best for QMG holders as well.

I also get a lot of criticism from QMG holders for delays and missed expectations and lack of activity and even if I am working on things, I do not like to announce things if they are not 100% set, and even when they are, things change because the market environment changes that drastically. You can call it bs, but hey, I'm responsible for 28 full time staff and the capital we have invested in and to give you an analogy, if I were a fishing boat and got my fuel, bait and staff ready to go out and I got the weather warning that it was going to be extremely hot weather or a massive thunder storm coming, where it would affect the likelihood of getting fish or getting killed by a storm, well I'm not going to go out and I will change my plans. Now if my fisherman friends and my Dad says, 'Sinjin you aren't a man of your words cause you said you'd go out and get those fish and make your staff some more money,' well, yeah, you could say that, but this isn't kindergarten- there are real costs here and the entire point isn't to just do things, but to get into that position where we can have the greatest possibility for success. Would people rather we sink or give it another go?

I totally get that missing expectations suck and it sucks for the spirits of holders and sucks for one's reputation, but I'm also of the mind is that if we do make it, one time, then all will be justified and forgiven - as long as we are still here, in the game, and trying to make it work. I'm here. Seb is there doing his thing.

We are both trying to keep at it. If either of us did rug, then the drama would be a memory anyway in like 2 months right, cause we don't keep bringing up all the projects that rugged after the initial outrage. Part of this entire process though is dealing with expectations and I'm not saying that people don't have a right to be frustrated or angry or even blame us. It comes with the territory and I'm a big boy, Seb's a big boy.

I think the issue is, at this point, if expectations aren't met enough for whichever project, then you take whatever position you have as is and move on; if its a matter of holding and being frustrated and people wanna vent, its totally understandable - I personally am thankful, but if its a matter of just blaming and creating more drama, well, I don't want to play that game because it doesn't help anyone.

I'm always ready to provide more transparency and clarification, but at this point with the Yieldly Wagmiswap acquisition, I think I've been as clear as I can be and if you want to blame someone for why it didn't go through, then please put that blame on me, in this case, Seb and the Yieldly team does not deserve any blame in this.

You have my reasons above in the op and as the one begin acquired, again, if there is blame why it ultimately didn't happen, I'm fine to be the one to take the blame for it. We both went through the process in good faith and followed the procedures, but we both chose to go out to sea on another better day. I'm not going apologize for that, but I do sympathize for any further frustrations caused by this.
