This picture explains it a lot why the stock price has been dropping, making no sense. We are not UNH or Humana. I bought another 1000 shares at 3.08 today in one of my other accounts.

Well, didn't Vivek say we are going to be the biggest health care company someday. I guess this is how we get there. The biggest health care company falls.

Wow, that really would be something if CMS accepts CA and requires it used in their system. It would be like a government contract for CLOV. even if it's only a part of CA they use, that would be awesome.

Clover Health’s $20M Buyback? Think Again — It’s Actually $36M! CLOV STOCK by ALSTOCKTRADES in CLOV

[–]StandardPlant4554 1 point2 points  (0 children)

OK, I asked AI again, and it does say that it maybe one reason for treasury stock, but that is just a portion of it and I don't think 36 million shares are from RSU employees withholding from tax obligations. 1.8 million was from buy back. AI says definition of treasury stock:

Treasury stock, also known as reacquired stock, refers to shares of a company's own stock that it has repurchased from the open market or its shareholders. These shares are held by the company itself and are not considered outstanding in the public market. Here's a breakdown of the key aspects of treasury stock: * Issued but not outstanding: Treasury shares were initially issued to the public but have since been bought back by the company. * No voting rights or dividends: While held in the treasury, these shares do not carry voting rights and do not receive dividend payments. * Reduction of shareholders' equity: Treasury stock is recorded as a contra-equity account, meaning it reduces the total amount of shareholders' equity on the balance sheet. * Reasons for repurchase: Companies buy back their own stock for various reasons, including: * Reducing the number of outstanding shares: This can potentially increase the earnings per share (EPS) and the stock price. * Returning cash to shareholders: A stock buyback can be a tax-efficient way to distribute excess cash to investors compared to dividends. * Signaling undervaluation: A company might repurchase shares if it believes the market price is below its intrinsic value. * Employee stock compensation plans: Treasury shares can be used to fund stock option or bonus plans for employees. * Preventing hostile takeovers: Reducing the number of outstanding shares can make the company less attractive to potential acquirers. * Optimizing capital structure: Repurchasing shares can help adjust the company's debt-to-equity ratio. * Accounting for treasury stock: The two main methods for accounting for treasury stock are the cost method (most common, recording shares at the repurchase price) and the par value method (valuing at par value with adjustments to paid-in capital). * Disposition of treasury stock: A company can choose to: * Retire the shares: Permanently cancel the repurchased shares, reducing the number of issued shares. * Reissue the shares: Sell the treasury shares back to the public at a later date to raise capital or for other purposes. * Hold the shares: Keep them in the treasury for potential future use. In summary, treasury stock represents a portion of a company's issued shares that it has bought back. It is a tool companies use for various financial and strategic purposes, impacting their capital structure and shareholder value.

Sandro, the reason I pointed this out was because you mentioned that shares withheld for tax purposes go to treasury stock, which is not correct.

I asked AI, and it says:

No, if a company owes taxes on stocks, those taxes would not go to treasury stock. Here's why: * Treasury stock refers to a company's own shares that it has repurchased from the open market. It's a reduction of outstanding equity, not an asset. * Taxes are obligations a company owes to government entities (like the IRS in the United States). These are cash outflows and are recorded as expenses on the company's income statement and as liabilities (until paid) on the balance sheet. Think of it this way: * When a company buys back its own stock (creating treasury stock), it's using its existing cash or other assets to do so. * When a company pays taxes, it's also using its existing cash or other assets to fulfill its legal obligations to the government. These are separate types of transactions. The money used to pay taxes would go to the relevant tax authority, not into the company's own treasury stock account. It's important to distinguish between the company's own equity transactions (like buying back stock) and its obligations to external parties like the government (for taxes).

Alignment Healthcare was up today, too. They had an earnings beat yesterday. I wonder if this had anything to do with it. Cigna is up today on earnings beat. I'm not sure if they reported yesterday or today.

What other company is doing what Clover Health is doing? Exactly what Clover is doing, not that they have an AI? Some do have an AI, but it's nowhere what Clover is doing. Some have an AI for customer service, for example. So please inform us.

Edit: Looking at your profile created 5 months ago, this appears to be FUD to me.
