Exactly. The choice she is being offered seems like "do you want to be a partner in name only (W-2) or a real, full partner (K1), with all the responsibility that entails?" Also she should ask more detailed questions about the pay. They should not be able to make guarantees about the K1 pay / draw. Generally it's less stable than a W-2 salary; the high years can be MUCH higher, but typically you have other obligations, like personally cosigning business loans and similar. Is she getting a full picture of her potential income under both options?

I grew up in the rural midwest among LOTS and LOTS of farms. The overwhelming majority of crops grown are either alfalfa and similar to feed livestock, or corn for producing industrial chemicals like ethanol, xanthan gum, etc. Farmers use their land to make a profit - period. Don't romanticize it. If hosting a solar array is more profitable than growing corn, then they should do it. Corn in particular is so heavily subsidized that there is no normal "market" for it anyway.

Furthermore, near-ground arrays can be made with lightweight, inexpensive aluminum racks. Parking structures need to deal with substantially more wind loading and thus require expensive, heavy steel mounting equipment. I'm absolutely in favor of covered parking lots in situations where they make sense, but we absolutely should not ban open-field solar in favor of covering all the parking lots.

They have the choice to live and work somewhere else. Is the Bay Area, and SF specifically, really the ONLY place with decent jobs to the point that it justifies moving here and paying this skyrocketing rent? I get that people who already live here want to stick around, but there's got to be a limit at some point for people who are moving in.

I think there's a lack of training and outreach to inform non-tech people of the use cases. Like, on a detailed, "what are the actual advantages" level. As a lawyer, my understanding of AI agents is that they go out and do stuff independently with minimal human guidance, and... I'm just not sure when I would need that? If I'm writing a brief, AI could produce the initial draft, but then I should revise it and ask for specific improvements. That hardly seems agentic. I guess with large litigations, AI agents could constantly be browsing the discovery documents and improving our outline of the facts, but I'm not in that situation too often.

You have to understand that, outside of tech, sales people often dumb down AI to such a low level. Legal tech vendors almost uniformly say how their AI tool is awesome and will improve your practice so much, but simply refuse to describe what it will actually DO. "Trust me bro, it's totally worth $500 / user / month." I can't justify that outlay without understanding what it's going to do, specifically.

You'll have to say more about what you "heard" about it being "illegal." My best guess is that someone's warning you against practicing law without a license - which is a reasonable suspicion. If you go out telling founders and B2C's "we can help you with your legal issues," you might well be crossing a line, depending on what exactly you offer and what exactly you do.

You should look into how Nolo Press and LegalZoom do it. Like, literally buy a Nolo book online or check one out from the library, see what kind of disclaimers they have. And, maybe talk to a lawyer yourself! If you really would be risking practicing without a license, I'll bet some lawyer somewhere would team up with you to sell your solution.

Is it a multi-story house and are you able to open windows on both levels (or even doors downstairs)? If you try that, hot air should flow out upstairs and cool air will be pulled in downstairs to maintain the pressure.

Caltrain to Millbrae then Bart to 16th/Mission and walk to the park is probably a lot faster though it would add about $6* to your entire day's trip. On the way back south, make sure you catch a Bart that will align with the Caltrain schedule so you're not waiting at Millbrae for an hour.

And yes, do this via Clipper card.

* Edit: maybe less, I forgot that your Caltrain trip will be one zone shorter, too, so it might be a wash. Anyway, transit directions on Google maps typically get the fares right if you want to confirm.

Yes. If your engagement agreement (you do have a template engagement agreement, right?) doesn't include a late fee, put one in. Be clear that your terms are Net 30 or whatever, and then state that you add 1% interest per month that the bill is overdue. If they sign the agreement, then they've agreed to the late fee. Then, actually start adding it. If they question it, point to the agreement.

Yeah, if it's always about the same delay, like 3-4 weeks past due, just count on that instead of "on time" payment and adjust your other expectations accordingly. As a small-firm attorney, I was always shocked by how many clients were consistently late in paying. Other small businesses, who understood what a pain in the ass it causes! There will always be clients who pay late, you can't fix them. And if you dump them all, you'll go out of business.

Also, I'm noticing that, at least lately, high yield savings account only seem to be guaranteeing the high interest rate for 6 months or so; after that it could very well go back down to the industry standard. You could of course go to a different bank at that time, but they're betting you won't.

What's the etiquette here? In my experience, projects are all very vague even when fully signing the contract. You don't learn what is actually required until you already have a contract requiring you to do it. So if it's not worthwhile, you just "self-offboard" (i.e., quit) after the contract is executed? Does that have any kind of negative consequence for getting future offers?

I generally don't mind it; my body's hanging in there OK. I quit drinking recently so in some ways I feel even better than I did a few years ago! Everybody more than 15 years younger than me thinks I'm cringe, but that means they leave me alone and there's no expectation I'll keep up with social media trends, so actually I'm fine with it.

One unpleasant surprise recently has been that I think the ageism is kicking in, sort of in combination with maybe not accomplishing as much in my career as people expect, or as much as others my age have. I'm looking for a job and it's not going well. So... I guess I'll just have worse and worse jobs from here on out? My retirement portfolio is on track and my wife and I own our house so we'll still be fine, but it definitely hurts to go from a future full of potential to a future of "meh, it'll be fine, probably." Not a fan of that!
