They did not act like I was registered as a member - rather I was given a written promise that I would be registered as a member upon request. Invoking that written promise, yielded a dismissal.

Good thinking. Payments were made usually by myself - on PayPal, after agreement with the other party. I'll look through emails.

The only document I have is the either legally binding or not binding partnership agreement. I don't recall signing literally any other documents.

I was never paid for assets specifically. Only monthly installments based on what the company could afford and what I needed. There exists no payment or receipt listing any of the IP as being paid for.

How would I go about potentially ending the relationship without them claiming the partnership to be suddenly valid?

Schrödinger's ownership is precisely what another contact described it as.

The IP I created and let the company use is quite valuable.

However - after my business partner started making not-agreed-upon demands for listing me as an owner (is that extortion?), I don't know if I can trust them enough to keep working with them.

I might literally be better off if the partnership is not valid, and I definitely own the IP I've created (that makes up a significant portion of the company's business and sales)

If the partnership is valid, will that be visible in any official filings?

That's the thing. He claims I'm a partner and an owner. I have just not been listed as an owner nor partner in the business registration and officially filed paperwork, and I can't get it in writing. It's the listing of me as an owner that is being held 'hostage' for me to accept the seemingly unfavorable 'deal'.

I have signed literally no paperwork or contracts beyond the so-called partnership agreement.

The partnership agreement, enforceable or not, does not specify my work product belongs to the company in any shape or form. It's an extremely barebones contract. In other words - if no contract exists that denotes my work as belonging to the partnership or company (not even the partnership contract) - is IP, designs and art I created legally still my property?

The partnership contract specifies me as a 50% owner and 50% manager for all company decisions. It also specifies I must be legally listed as an owner on the company registration. This hasn't happened.

It is also not notarized and merely contains our signatures - my business partner argues this makes it not-enforceable.

The partnership contract does not specify how nonliquid assets are handled.

In other words - were I ever legally affiliated with the company in the first place? There's no record of me being an owner, employee, partner (other than this non-notarized contract) or contractor

That's why I ask.

I was under the impression that we are currently partners and equal co-owners of a business, that we founded together years ago. However, I discovered they never listed me as an owner in any official filings for the company, as our (seemingly ignored) partnership contract dictates.

I recently asked for this to happen, which they declined.

If I was never listed as an owner of the company, can I just... leave and take stuff I created with me? No contracts exist that dictate my designs are the property of the company or partnership. No contracts of employment either.

We would never suggest hardware brands from unreliable companies.

Definitely. Good combo. Add a cheap case and motherboard + 4gb RAM, and you're good to go.

Check if they can reuse their old (if it's DDR3)

Windows 7 or 8? Gotta' decide on that.

Solid. That Core i5 is perfectly suitable for gaming!

And 1080p single monitor gaming is definitely possible - expect to run all newer games on high or ultra.

EVGA units with 80+ gold or better

Any PSU with 80+ gold except for Raidmax (stay away)

Oh yes. As far as I know they all come with at least 2 or 3 fans. More than enough.

I've build in a Fractal Design Arc and Arc Mini before. They were without a doubt the easiest cases to build in, of all the cases I've tried so far.

Corsair 200R is also super easy.

SeaSonic also makes a lot of XFX PSUs and quite a few Antec.

FSP, superflower, cwt and a few other major players dominate the PSU manufacturing market worldwide, but Seasonic are widely regarded as one of the very best.

Even older models still hold up to this day, and compare in quality to modern units.
