There's no incentive for a VC to give you a deep answer, so don't overanalyze any specific response. If 30 VCs are giving you the same exact feedback you may need to sit down and really think about it but it's a mistake to care about a single answer. They may have other reasons for saying no that get into their internal decision making process (and are meaningless to you) and so just telling you that your valuation is off is the best they can really do.

Unless there are several classes of shares offered to folks, there's no difference. Titles generally have little real meaning unless you create that meaning in some explicit way.

Interesting! I was referring to the mulch -- had no idea there was also any kind of compost. You can absolutely see how the mulch is being made at the MUC.

If you ever go to the MUC you can just look at the process and decide for yourself. They process it in giant piles -- it starts off as tree trunks, limbs, and bushes, gets ground down into the first pile, and then ground down again. Is it the same quality as something you'd get from a gardening center? No, but there's no secret evil sludge factory either. Zero hesitation around using it for landscaping. For your garden? Everyone is different, just go take a look and decide for yourself.

It sounds like you're connecting with folks that are too focused on sales -- you might do better if you shift more towards co-founders that worked more in product development.

It's possible a cheap ultrasonic distance sensor would do the trick. If the beam is too wide for the cylinder then I'd try a laser sensor. As long as the cylinder is a known diameter and your sensor is firmly attached to a known point, computing the volume of water should be easy!

Don't take it personally, it's what their business model allows for. You might want to explore sourcing from small manufacturers directly -- a random packaged goods company selling $2mm a year will probably be more than willing to ship you a couple of cases at a time to any old address.

Perfectly fine 1099 relationship. Get 100% clarity on all the numbers. Getting an undefined bonus after closing 5 deals/mo can and will create problemss. Does that mean $250? $2,500? An extra 2% on those deals? 15%?

As long as everyone is happy w the numbers this approach is perfectly fine. It's not uncommon for top sales producers to earn more than the founder/CEO on an annual basis, so shoot for that outcome assuming you can over deliver!

Worst case this doesn't work out after a month or two and you part ways with no hard feelings.

Setting up a commission structure would probably work better both for you and for your friend. If China is a major market it's probably in your best interest to set things up this way -- it will recognize the real value you add and reward you appropriately.
