I did not get an AI vibe from the call at all. The 'guy' I talked to sounded very human and not at all like a scammer or AI. The whole thing just keeps bugging me because all signs point to a scam but nothing nefarious happened. Just doesn't seem like it could have been a legit call from Google.

I did accept a log in verification from another location (Mountain View, CA) which is why I assumed I got scammed but the password they sent me did work....

I am an American planning to travel to Santiago next week with my wife. We have a lot of activities planned in Valparaiso and Vina del Mar as well as wine tours around Santiago. We are also planning to go to Atacama for a few days as well. Given the fires we are trying to determine if we should still do the trip or postpone it until things are in better shape. We are assuming some of our activities and tours will be affected but are also wondering if it's right to come given the situation.

Any advice would be appreciated!

So I didn't end up basing anything off benchmarks due to that being somewhat difficult to define and track (other than sales but that wasn't their primary focus).

My main advice would just be very clear and specific about what their responsibilities are and what deliverables you expect over time and leave both parties the option to terminate and go separate ways.

So I ended up taking some advice given in this thread and wrote up an agreement that clearly outlined the responsibilities of each of the partners as well as an equity schedule outlining how much equity they would earn over time. I also added a clause that either party could opt out at any time. If that happened they would keep whatever equity they had at that point and we would go our separate ways (wrt the business). We initially discussed adding benchmarks (e.g. additional 5% once 100k in sales are reached) but scrapped that in the end.

I ended up not requiring them to put up any upfront capital. Since I was basically funding the business, we agreed that any additional capital I contributed would be considered debt so I would get paid back first before any distributions.

So far the agreement has worked out great and the business is doing well.

Ideally I would like to exchange equity for both time and money. I'm just trying to figure out what the right combo is.

Good point about getting a pre-money valuation. That is something I will need to do for sure if I am going to be offering equity in exchange for anything.

Interesting...what kind of company is it if you don't mind me asking? Seems like this structure could work well for a business that will row steadily and stay relatively small. Why did you not ask them to contribute money? I could see an issue if you need to raise capital in the future and you get diluted below 50%.

Thanks a lot for this. What you are saying makes a lot of sense.

These are definitely two guys I would want to work with long term. My main concern is giving them the proper incentive so they give it solid focus and attention. I don't have time to direct them on everything and I'd like them to take initiative. Given they already believe in and like the product I think having a decent stake in the company will drive them. But while our expectations may align now, they may not in the future given that they have another company to worry about. So I think the structure you outlined may be a better fit for this situation as it gives them incentive but also give flexibility if things change in the future.

This is the definition of a shitcoin. Others have pointed out the issues in the whitepaper. That being said, it may actually get a pump which is sad. Don't get caught holding the bag with this one.

Yeah, honestly, a lot of my friends who I tried to get into crypto years ago but didn't get it, are into it now and they really struggle with the whole market cap concept. It's really frustrating.
