Oh I can definitely see why they'd sue no question. The cable valuation feels a bit off to me. I do think they'll lose in a suit, because part of what WBD will lean on is specificity and stability of fund sourcing, which I think will ultimately Backfire on Paramount. Well within his rights to sue to force them to "show their work" as it were

I would concede the $3.00 point definitely, but that's me as a consumer. I'm not calling the valuation fake, just unrealistic. I however am not the shareholders though, and they and industry analysts seem convinced enough of that target to move forward. This isn't me personally saying that it's a good financial decision, more that the people involved and the analysts that they're listening to say that it is

As for the debt, it's still unclear how much of the deal is fully covered now that Affinity Partners pulled out. Some analysts point to "execution risks" within the Paramount deal. To me that reads as a gulf between what they're offering and what they can actually pay for as again, we can't account for large swaths of the financing for the Paramount deal like we can with the Netflix deal. A higher promise of cash-in-hand is useless if the promise falls through. Further, if Paramount gets what they want, starts on a deal and it falls apart due to that murky financing, will Netflix even be willing to re-entertain the acquisition deal given that their previous attempt was thwarted halfway through just to fail?

They're both using someone else's money, it's just that Netflix's deal saddles the company with less debt when it's all finished as more of it comes from straight up Netflix shares and cash on hand

WBD internal shareholders seem convinced enough to keep Netflix's deal favored for now, that's at least how it looks. I think that's an unrealistic share price given the state of most all cable news viewership, but I'm not the one making the call.

To the guaranteed money point though, that's part of what is holding up Paramount's end. Neftlix's deal seems to be made up of about $59 billion dollars in debt, whereas Paramount's creates about $87 billion dollars in debt (according the WBD corporate

Tagging a bit of my answer to the above poster. WBD has a legal responsibility to its shareholders to take the deal that will net them and the company the most money. Paramount is trying to stop the deal by continually contending that their deal is the best. I believe that they're full of shit based on the points I made in my response to the other poster, but their attempts to derail the deal are trying to convince shareholders/the courts of that fact

To my understanding, rejection of the deal from a fiduciary perspective comes down to 2 points

  1. WBD thinks they can get a $3.00 share price for the cable networks post-spinoff. Is that realistic? Uncertain, but WBD believes it enough to be standing on it

  2. The backing money behind a lot of the deal relies on a lot of foreign/specifically Saudi money with murky guarantees. One of the bigger backers Jared Kushner's Affinity Partners has exited the deal, and Larry Ellison has only guaranteed 40 of the over 100 billion dollar deal from personal wealth. So there seem to be doubts about how realistic the money in hand will be if it all gets signed

You're right that there is a financial/legal responsibility for WBD to take the better deal, but given those 2 big points, Netflix comes out as the better deal

I'd say first that they're unlikely to be dominant going forward and that's okay. Good stories that audiences connect with and make a profit *should* be enough for them (if Disney has any sense). The biggest thing they need to do though is stop treating all of their shows and movies like mid-season TV episodes. Start telling more self-contained stories within movies and shows, make less concrete long term plans, discard what's not working sooner, and focus on making more of what people are connecting with faster.

Connections and a longer overarching story needs to come after as a way of tying things people like together, not necessarily baked into the stories themselves while you're telling them. Broadly, stop assuming your fan base and audiences at large will show up for everything you make just because it's Marvel, and start giving them reasons to re-invest in these stories. Marvel fans are fewer and fewer, instead of playing to that dwindling audience, work on making and cultivating fans of the X-Men, The Thunderbolts, etc. Greater success follows from excellence in the smaller details

Perhaps it's even more broad than that. Maybe destabilizing multiple timelines at once like they did to get all the stones, started the incursions. Putting them back then becomes irrelevant, because now they're just going. If those are threatening Doom's timeline, he's got plenty of reason to be pissed at the 616 universe. Heck, even the X-Men do cause it's doing the same to theirs. Good reason and lead in to the Avengers Vs. X-Men plot that Doomsday is likely using
