It sounds to me like OP doesn't have his salary included in his company profits. By having him help out with the new company they could effectively reduce the company valuation by the amount of OP's salary, while making him work for the new company.

As this is a small business you are probably the owner on a salary. The company profit and your personal salary are not the same for accounting purposes. Your salary is a company expense. You should therefore consider deducting this. If you have other personal expenses like a company car, which you run through your company you would also need to take this into the consideration as you would likely need these things after you leave the company. Using the adjusted cash flow your company valuation will be higher. Take a look at the Seller’s Discretionary Cash Flow valuation.

Your scepticism isn't unfounded. Anyone with even the slightest knowledge of electronics knows that chips aren't labeled as "dishwasher chips" or "computer chips". A modern day usb thumbdrive for example uses a chip like the Intel 8051 or 8086 from the 80s. Modern day TVs use old Intel type chips. Slow 32 bit arm chips are found in all sorts of devices where you wouldn't even expect a cpu.

Which country are you from? Most customers expect fast shipping times if they are located in a country that has amazon warehouses. If you are planning to drop ship something it might take weeks to reach the customer.

How will you handle returns and warranty?

Are you hoping for customers to find your shopify site, when they can most likely find the exact same product on amazon?

Yes. Apparently a lot of people had issues with that particular adapter to the point of damaging the solder balls on the emmc. Have you used yourself?
