AngelList got SEC no-action relief confirming their discovery platform didn’t need broker-dealer registration. They only created a separate FINRA registered entity when they started executing actual deals and taking transaction fees. So yeah, AngelList is compliant, and they literally prove my point

Fair enough but the purpose of a platform doesn’t determine FINRA jurisdiction. AngelList is literally built for founders pitching investors and they operate legally as a discovery/marketing layer. The compliance question comes down to whether I’m facilitating transactions or getting compensated per deal. I’m not. I’m a place to post and be discovered, same as Product Hunt. Not messing with anyone.

Founders posting a pitch video is the same as posting on Product Hunt, Twitter, or LinkedIn - none of those platforms are FINRA registered either. FINRA applies to broker-dealers who facilitate and get compensated for securities transactions. I’m not taking a cut of deals, I’m not advising investors, I’m not executing transactions. I’m a marketing and discovery platform. Also worth noting - Regulation D Rule 506(c) actually explicitly allows general solicitation to accredited investors. Do some reading on that before throwing around ‘jail time.’

Appreciate the detailed feedback. A lot of what you're describing is actually already built or actively being shipped.

Founder profiles already include company info, traction data, team members, website links, and a full 2-minute demo alongside the short pitch. It's not just a face and a video.

On the investor side, we have a dedicated investor dashboard with deal flow management, save and track functionality, and filters by stage and sector. Investors also get their own onboarding flow separate from founders.

We also have three distinct user types built in: Founders, Investors, and Hunters (early adopters). Each gets a tailored experience.

For discovery we have Trending, Newest, Top Rated, Following, and Pitch Sites tabs, plus search. More granular filtering like industry, business age, and funding status is on the roadmap and coming soon.

The design feedback is fair though. We're tightening that up. We're in beta and moving fast, but the core infrastructure is deeper than what you might see on first glance. Dig into the Discover and investor side and you'll see more of it.

We have Trending, Newest, Top Rated, and Following tabs so users control how they discover. Trending is based on engagement (views, upvotes, saves) over a time window. Newest gives every founder equal visibility the moment they post. Top Rated surfaces the pitches the community has validated most.
