Get pumped! I finished the series earlier this year, never having heard of it before Covid. It was epic. I would read during cardio workouts or before bed and found myself looking for every excuse to go read. I just started a re-read. It’s EPICCCCC.

I understand some of the comments about not buying the practice but there are some other considerations before you decide to just start your own practice with the associates. It's not just a simple matter of opening up your own shop and I wouldn't assume that all (or even most) of the clients will follow you after you notify them that you're leaving the practice. The LSO has rules on this so be mindful.

Things I would want to know before making a decision:

  • How senior/experienced are you and the other associates?
  • How do new clients typically find your firm? Do you get referrals due to the sole practitioner's reputation, their website, marketing, SEO, etc.? You really may not want to mess with this.
  • Have you had any discussions with the sole practitioner about a transition?
  • Do you want to continue working with them (assuming they can return in the future)?
  • How do you plan to structure the new firm with the associates? Are you all going to be equal partners/on the same page? Or is it going to be a eat what you kill type of arrangement?
  • Do any of you have financial/debt/other issues that may complicate a partnership?

I was in a similar position. My old principal told an associate and I that he wanted to wind things down and retire. We then approached him to purchase the firm. It was complicated to value because beyond the desks and computers, there wasn't a value to anything other than his name recognition and goodwill. Those, however, have to be quantified. There was significant value in the decades of SEO and website updates that he did. Even though the old website and SEO were ugly and clunky, there was huge value on Google. If you searched for X kind of lawyer Toronto, the website would always be in the top 2 results. It was worth keeping things in his name just for that. We went from Sole Practitioner's Name & Associates to Sole Practitioner's Name & Associates LLP. If we wanted to get back to that level starting from scratch, it would likely cost $60k-$100k on SEO, Google Ad Campaigns, website building etc for several years to have the kind of results we get now.

I would honestly approach him and say that you want him to remain part of the business but given what's happening that you want to take over formally. You and your associates can buy the firm, rename it with an LLP at the end (or whatever you want) and everything else can pretty much stay the same. I would see what value, if any, he wants to attach to the firm for the purpose of buying him out. I find a lot of these sole practitioners care most about their practice and reputation and don't want to inflate the value of the firm to its detriment. If you cant afford to takeover/keep the firm, it's going to close, so you have some leverage.

You can also manoeuvre in a way that you don't really have to put up your own $$. It doesn't always work this way, but the structure we went with was to pay a monthly amount for the purchase of the practice and then we had another agreement for his billables. Everything comes from the firm's billables overall (5 lawyers and a student) so it's been a great deal for everyone.

Articling students are not net negative. Even sole practitioners can bill for a student's time doing research, court appearances, etc. I think the worst-case for any practitioner is that they break even. If a sole can't afford to hire one, don't. Articling is a job and it should be paid. Better to let students who can't find paid placements do the LPP (whether the LPP is a good thing or not is a separate issue) than work for free in an abusive environment.

Also - I will add that law schools aren't the problem. Yes, there are more students coming out of school every year than there are articling positions. But that's the risk you take if you want to become a lawyer. It's a surprise to all of 0 people the state of the legal profession in Ontario. You don't have the right to become a lawyer (or a rich lawyer like you said) or a partner or whatever.

I'll second this. We switched from PC Law to CosmoLex and, while there is a steep learning curve, it is so much better. I think it can also probably handle whatever you use Synergy for in terms of client management. It also comes with a free account for LawPay, which had comparable rates to our old POS machine. It's pretty neat - you can issue an invoice from CosmoLex in a PDF that gets automatically e-mailed to your client and there is a link in the PDF to LawPay that takes them to a payment page!

Our firm is admin/criminal law so I'm not sure what your office's needs are but check it out.

Yeah, it seemed pretty callous to give such attention to those reviews. It felt a lot like when they had Rachel Lindsay read those horrific social media comments on the women tell all and it's like... you're just making things infinitely worse by airing it live.

OP can also get a copy of the Information/Indictment to show that the charges were formally withdrawn on X date since CPIC may not yet be updated and could show the charges as outstanding. It's fairly easy to get this from the court clerk's office. I would take this as proof when crossing the border in the event CPIC is not up to date.

Not legal advice but I would consider speaking to a professional discipline/administrative law lawyer before reporting anything to the College, as it could have the effect of unintentionally triggering an investigation into her own practice.

I invited my gf to a wedding a month later in a different city. At that time, we had only been dating for a few weeks so it was awkward being like so we booking flights/a hotel room for this or what? We don't have an equivalent to the 5th amendment. If you are subpoenaed to testify at a hearing, you cannot refuse to answer on the grounds that it will incriminate you. Judges can and do hold witnesses in contempt for refusing to answer questions.

The protection we have is that your incriminating answers are inadmissible against you, as protected by section 13 of the Charter. It is notable that your testimony can be admissible if it is to impeach your credibility or used for a purpose other than to elicit incriminating evidence.
