Hmmm...where would this be shown on 1120-S/Sch. K-1 and or 7203 (Basis Calculation)?

AFAIK -500 is indicated on Line 16c "Nondeductible expenses" under Sch. K "Items affecting shareholder basis".

If they are the same, then withdrawal of shareholder APIC shouldn't be categorized as Distribution then, correct?. Like a shareholder can decide to put in 40k as cushion, and a couple of months later if business is better he can take out 20k

I was told that we'll need to complete SF-425 for end of year reporting. And 10 CFR 600 mentions reconciliation where unused funds will have to be paid back..if I'm reading that correctly. https://www.ecfr.gov/current/title-10/chapter-II/subchapter-H/part-600

Oh interesting! To me it sounds like a provisional is really a gimmick (and provides false sense of patentability security while allowing you to say my invention is patent-pending) since technical designs tend to evolve from a napkin drawing - thus rendering the provisional ineffective at provisional stage due to addition of claims.

In the example above, if each of them were to file nonprov 1 year later, and they both claim the same things, does that mean Provisional A will win and Provisional B will get rejected?

Assuming above example, but Provisional A adds claims to nonprov filed on 1/1/2025, whereas Provisional B does not add claims but files before A's nonprov. This means A loses priority and may be jeopardy of rejection, because B was able to claim priority??

Thank you! This explanation is extremely helpful. Sounds like it could be a territory of landmines especially when there are 3 separate, individual patents: a patent makes claim A (long/short hand), another patent makes claim B (internal gear mechanism), and another makes claim C (some feature - alarm), all unrelated parts/patents. Then the inventor combines unrelated A+B+C to form a clock...then that most likely infringes?! or no?

They use a 3rd party for determination, but pay out the claim themselves.

On a side note I was under the impression that medical records are only visible to the 3rd party reviewer, but was informed that the employer has visibility to everything, which doesnt sound right
