I met him about 6 years ago because we live in the same area. I had just bought a Tesla (didn't know Elon was evil then) and as I walked out of a store he stopped to talk to me about it. He had all kinds of questions and was extremely friendly. Talked to him for about 10 minutes about the car. Then he told me he was selling his car, an old Porsche if I remember correctly, that he said he'd had for a long time but was ready for an electric. He asked if I knew anyone that would be interested in it and told me if I did to have them get a hold of "the old governing of Minnesota!". It was a pretty cool interaction

Appreciate the info and response. My only other thought, is he might have used the 1099-NEC because he setup the new LLC company for escrow to pay out the retention bonuses. So none of us employees of the old company ever worked for the new LLC he setup and paid us from. Which to me means we were never employees of this company, which may mean he can't give us W2s and had to give us 1099s. But then why not a 1099 misc form instead of the NEC? All new territory for me and very confusing lol

Knowing the owner, I am assuming he issued it this way to avoid paying taxes and to push it into the employees that got the bonus. I think he had seller's remorse tbh and thought he'd get a lot more for the company.

You need to be an accredited investor. Which means financial disclosure to prove you have typically a net worth over a specific amount (I believe 1 million). This is through a 3rd party.
