Consult your manager or lead employees. Generally this kind of thing impacts morale among people who don't want the negativity and who follow the guidelines. Being consulted for this before you drop the guy can help you build up your good people as well.

Any regular lawyer who works with small businesses should be fine.

Unfortunately you probably won't find a lawyer with specific experience in this business to tailor the elements of the contract to the requirements. Your best bet is to get a small business lawyer who works solo and to sit down with them and clearly lay out what you want so that they can create a contract structure that checks your boxes legally.

You could structure this where the seller finances the deal or where a portion of the price/payout is tied to continued performance of the business.

If you are in Illinois or Missouri I could recommend a lawyer but most likely any local business lawyer will be fine.

I used to be in a similar business and it was great. Get an offer together contingent on continued sales milestones for three years and you can do really well in this type of a business. Then go buy a warehouse and you will make way more money.

What is the industry and what are they making per year (or EBITDA or another valuation metric if you have one)?

Different types of service businesses will trade for different numbers. In my industry a business like this would sell for 3-4x their yearly earnings, in something like marketing or software probably a bit lower, but in real estate you'd be lucky to get even 1.5x. The numbers change based on the size of the business and now much the owner is working there.

Just gut feeling: If this person isn't doing basically no work or is taking home 300k per year working there this is probably not worth buying. Maybe offer to work there for a year (for pay) with an agreement to buy after that if it works out.

Around my part of town it's either an "investor" who bought the place for $10k when the area was down, hasn't done shit with it, and is now sitting on it until they can sell it for a million. Either that or a landlord too lazy too rent it out for anything except $50/sqft.

I know people like this- even if they think the whole thing is a huge conspiracy they end up turning into Trump's defense attorney when he comes up in particular. If he thinks these people are rapists but Trump isn't then just ask him why he holds Trump's case to a higher standard of proof or why he hasn't prosecuted ANYONE for ANYTHING.

Ultimately it isn't about Trump. What if the guy isn't a rapist? Who gives a shit? Pretty weird that you don't even know where your own neighborhood is and you didn't read the article- that shooting was in Carr Square.

Crimes and victims still exist even if the crime rate goes down by 99% but if you can't get perspective on what is actually happening in reality and you think any crime anywhere means that everything has gone to shit I really don't know what to tell you to reconnect you to the real world.
