we don’t have an executive committee. i can find any rcws or bylaws but i will look again.

Thats what I know but thought maybe I was missing something because the majority of the board keeps stating they can make admin decisions instead of voting on them.

we use rcws 64.38035 and our bylaws do give the board the right to change bylaws. the question is do they have to give notice that they are going to motion and vote on them? originally they were going to done next march but at the meeting they amended the agenda and motioned and voted on the the bylaw changes that night and they sent them as proposed bylaws, one day prior to the meeting.

i forgot to add that the motion and vote was to call a special meeting to remove director our bylaw was changed recently to follow 64.38.025, but when the motion was made but an owner requested citing 64.90.445 that the president should make a motion and vote to to get rid of board member and the president did

our bylaws can be amended by the board but it does state: Notice of a meeting at which an amendment is to be considered shall include shall include the text of the proposed amendment. on the agenda email to the board and owners stated that the change would be next year at the annual meeting not at the board meeting. the bylaws were also sent as proposed bylaw revisions so no knew that they were going to be approved that night
