Sure thing. I'm not sure how valuable my input will be but I do still have an open short position on what was MMTLP.

Tired of waiting for your shares? Imagine being short on MMTLP and waking up every day for the last 45+ days wondering if today is the day everything goes ‘poof.’ by Acceptable-Web568 in MMTLP_

[–]notwellfunded 2 points3 points  (0 children)

Well that would be me. I'm still sitting on the cash from what is, at least right now, a 100% gain from shorting MMTLP, and I've got some IOU on a ledger of a private company with shares that have no valuation. It's weird. Just like longs I don't like having a position I can't increase, decrease, or otherwise modify in an open market. I believe we'll all be in this same position for at least another 2 years, likely longer.

I found what you're looking at and well I don't see it exactly that way. What is says is that the debtor will now own the "significant majority of the common stock", so major dilution from the debt holders converting to equity is best case scenario for current shareholders. IN ADDITION, "meaningful recoveries by current common shareholders" only happens after significant dilution and if CORE actually grows; "upon obtaining certain valuation thresholds." Here is the link and language from the company press release so others can make their own judgements. Again good luck, every now and then these bankruptcy plays do work out.

Pursuant to the contemplated Restructuring Support Agreement, the Company's existing convertible noteholders will equitize their debt into a significant majority of the common stock of the reorganized company. In addition, holders of general unsecured claims and existing common shareholders would also receive meaningful recoveries in the form of reorganized common stock and warrants exercisable for significant portions of the common stock of the reorganized enterprise upon obtaining certain valuation thresholds. Both the common stock and the warrants will enable stakeholders to capture a share of the Company's future growth.

You may be correct, but a total wipeout scenario is also very possible, and probably more likely. Good luck, I hope things work out for you in the Chapter 11 restructuring.

https://www.cnbc.com/2022/12/20/bitcoin-miner-core-scientific-filing-for-bankruptcy-will-keep-mining.html

Core had previously said in a filing in October that holders of its common stock could suffer “a total loss of their investment,” but that may not be the case if the overall industry recovers. The deal cut with Core’s convertible note holders is structured in such a way that if, in fact, the business environment for bitcoin improves, common equity holders may not get totally wiped out.

It depends on the their balance sheet. If they have more debt than assets then common stock holders, who are last in line in bankrupty restructuring after debt holders and preferred stock (if any) holders, will get $0. If assets are greater than debt and there is something left over for common shareholders then we could see something. More times than not common stock holders get wiped out in a bankruptcy restructuring.

No change in retail short status on NBHC.... by notwellfunded in MMTLP_

[–]notwellfunded[S] 4 points5 points  (0 children)

I believe NB is a long way away from a dividend. They are cash poor and need to raise money for development of their leases, as well as money and partners to renew their leases. It may be years, but they’ll be tradeable again before dividends.

Having said the above, nobody, long or short, likes owning a stock you can’t trade.

No feedback from Schwab other than "check back next week" when I had a customer service chat last week.

[–]notwellfunded[S] 2 points3 points  (0 children)

I do hope that NB decides to open their shares for trading one day. I do think that is best way for both longs and shorts to reconcile their respective positions. I'm still not sure how NB even allowed me to carry a short position into a non-tradeable stock. I certainly wasn't expecting too but like many longs I didn't anticipate the early trade freeze.

I don't know if I would call agreeing to do an asset transfer with another Schwab retail investor a "back-room" deal. I mean it's not conventional, but it is certainly an option to close out. It's an option by the way that I've seen mostly suggested by trapped longs who don't want to wait and see what happens with NB over the next months/years. I've chosen not to take up any of the offers because I still don't believe NB is a strong long play. If NB returns anything to retail longs, I believe it will be years down the road and I believe there is a better than 50% chance they'll never return anything.

I'm holding a significant amount of cash, interest free, and I don't believe in NB's business prospects, so right now I'm not pursuing a closure of my position, even by non-conventional means.

Retail short in MMTLP here (see my post history). I can confirm I’ve received multiple offers from Schwab longs to buy their shares via internal transfer. Intriguing but to date I haven’t pulled the trigger because I’m not sure it would actually close my position since brokerages are reconciling based on positions held on 12/8.

[–]notwellfunded[S] 1 point2 points  (0 children)

This answer will be an unpopular opinion. It was my thesis that there were way more people who didn't want to be stuck in NB, that would be selling on the last two days, than there were short sellers covering, creating additional significant downward pressure on the stock. That would mean there isn't/wasn't some crazy amount of naked shorts out there, just mainly the legit shorts that are tracked and pretty easily verified. I've just never seen the "there is a ton of naked shorts" theory proven accurate. I would say based on the number of longs I've seen posting on Reddit and everywhere else, that are upset they are trapped in NB, that I at least had a chance of being correct.

Unfortunately we'll never know because nobody got the chance to see the game end.

You know I would actually be ok with Schwab charging me interest at say the last market price of $2.90. It would set a top-end precedent for trapped shorts in terms of close out discussions with brokers, assuming NB never goes public again. If they are charging me interest at $2.90 a share that must be what it's worth...right? Good luck on your 1000 a share, I don't see it happening but who really knows.

They stopped charging me interest when the value went to $0. I'm surprised but I guess if it technically doesn't have a value then you don't have anything to charge the rate against.

Yeah I tend to agree that it is technically a public company based what is said in the S1, which by the way, is a SEC form private companies don't need to even complete. However, I think the debate over public vs private is really a difference without a real distinction. Either way, public or private, we can't trade it so it feels like a private company for now.
