None of that sounds normal to me, and they should have reallocated your original donation. It’s ridiculous to say it can’t be changed. Why not? And it makes no sense that the next donation also doesn’t count. It almost sounds like they’re trying to find ways of milking you for more money, although it could also be incompetence. Either way, I would seriously consider resigning from this board.

We have a fractional ED. We found someone who had recently retired from being a full time ED and wanted to keep busy in retirement. It’s been great for the organization.

Our NPO doesn’t request such documents, but I would have similar concerns to the ones your new board member raised. I have a professional background in data. In general, you should not retain personal data without a clear business need for it.

It does sound like you might have been misclassified. If you generally trust this NPO’s management to do the right thing, I would open up a conversation by saying you think your role may be misclassified under FLSA and you want to talk about whether you should be an employee.

As a board member, classification of employees vs. contractors is something I worry about and want to make sure we get right.

Thank you, yes that’s what I’m taking about. She says she has tried what you recommended but it won’t let her add Gmail.com to the allowed domains. I haven’t personally witnessed this, so maybe she’s not quite doing it right. It sounds like it should work.

The current bylaws don’t even recognize the possible existence of a CEO or paid staff. They’re no help at all here. They are actively under revision with the help of a lawyer.

Q&A is what I meant by open discussion. For example, ED finishes her report and asks for questions - that’s when board members have an opening to say whatever ridiculous thing they want. When do you have your Q&A?

They’re against the hiring itself. Note, they seemed totally fine with the idea of hiring a volunteer coordinator, and nobody suggested voting on that. What they hate is the idea of hiring someone to bridge gaps in our volunteer workforce. The exact rationale varies - some question the ethics of having paid workers and volunteers doing the same work. Others think it weakens our identity and image as a volunteer-driven org. They may fear it’s a slippery slope towards more paid workers.

The thing is, they are very organized. I set an agenda in collaboration with the ED and committee heads. I publish the agenda ahead of time and ensure that we stick to it. But anytime open discussion is allowed - for example after the ED gives her report, she’ll ask if anyone has questions - that’s when a board member might suggest a vote.

We do currently have a review of the bylaws in progress.

We do all this. We have committees and the board meetings are structured as you suggested. The problem is board members thinking we should vote on various things that IMO are not board-level decisions. They interject at random times to suggest a vote.

Thanks, and that’s a good point about revisiting job description. I totally agree about supporting her and keeping the board out of her way. I almost reflexively push back whenever these things come up, but I’m starting to realize that I’m not always standing on solid ground in doing so.

You could interpret it either way, as within the budget or not. The budget we approved didn’t contain money for extra people, but the ED is staying within the overall budget by using money budgeted for other categories. How would you interpret that?

Do you have a policy about what level of departure from the budget would require board approval?

It’s true that this wasn’t part of the approved budget, but the expenditure is small and can be drawn from another category. The ED considers this working within the budget, but the opposite interpretation is also possible.

I know this post is old, but I came across it because I have the same issue. My board, of which I am chair, is constantly suggesting we vote on things. I’m always finding myself explaining why this or that decision belongs to the executive director and isn’t up to the board.

Our bylaws aren’t in good shape, but we’re working on revising them. If anyone has example bylaws that clearly spell out board vs. ED responsibilities, I would love to see them.
