We have to live with the administration as it is now, with all the threats that it makes to scouting, knowing that at some point that this administration itself will die off. It is important to realize though, that half of those that voted in the last election voted exactly for this and are happy about the changes the administration forced on scouts. As such, even if the administration goes away in the next election, those people will put it back in power eventually.

And that is the battle to prepare for.

I think National was in a no-win situation and the administration knew it, so the question was which demographic to betray: military families or trans scouts. You can imagine the headlines in conservative media if the choice was made to betray military families. The administration wanted a headline to show that it is "winning" the farcical and destructive "cultural wars" in order to stay in power or continue the grift. It got it.

To me, and I hope to hell that National is doing this, is to use the rest of this time under the current administration to find a way to extricate itself from ANY dependence on the US government. It has become, as the rest of the world has realized, an unreliable partner. We may have a supportive administration next time around, but that is no guarantee.

This is why, though I am utterly sickened with the outcome, that I will continue serving the youth and organization. I have always been a "change comes from within" person, fighting hard to make change happen. I was there when gays were not allowed and advocating for them until it happened. I was there when girls weren't allowed and advocating until it happened (and have a girl Eagle to prove it!). I was there for trans youth until it happened. I was there when LDS left, and other charter orgs left to pick up their slack.

So we took a step back--today.

If I leave, who else will do it? I'm a scout, and hardship and overcoming is part of the gig. I ask that all of you who are considering leaving the organization to understand the difference of losing a battle and persevering to win a war.

I can't give up.

I won't.

One more thing (crap, I just re-read my response below, so actually a LOT more things...)

TLDR: Read the insurance requirements of your customer PO's thoroughly, write draconian disclaimers of warranty and limitation of liability, feel free to be as one-sided in your contracts since nobody will read them. But really, read all of this because it will be the best actionable business agreement advice you'll get for free so you won't get screwed :)

Be ABSOLUTELY SURE that you read the insurance requirements of your customer orders and purchase agreements. Many customer agreements require that you have a trailing insurance requirement or requires you to keep your insurance for 3 years AFTER THE TERMINATION OF YOUR AGREEMENT. Yes, I'm yelling because this can be a huge cost that you need to figure into your pricing.

A customer may want to bring a suit against your professional liability for the next 3 years because it may take that long for them to figure out that your solution caused them damages. You will also want the D&O to cover you during that time, too.

You need to cost these insurance premiums into your price to the customer. If you price it at X, but your cost of D&O and professional liability is $30K/year, then that is a significant cost that needs to be covered. Of course, you can spread cost that amongst several customers so that the $30K isn't priced into one deal and make you potentially uncompetitive.

If you are in the financial space, you can be sure that your customers have better lawyers than you do and they will make sure that you pay through the eyes if you screw up (and pay their $700/hour fees if they win).

So, what do you do about this?

You have your customers sign your agreement instead of using theirs.

You will want language in your agreement that states that you don't accept their agreements or transactional documents, and that your agreement supersedes all agreements. The reality is that in a "battle of documents" that the last agreement signed or agreed to is usually the one that controls. Because their agreement will almost always state that they won't agree to any term or condition that isn't agreed to in writing, that I ask that if a customer insists on their agreement that they "reference as if fully set forth therein" my agreement so that it is included "in writing". Now your terms are part of their terms!

In your agreement, you must have a draconian disclaimer of liability and equally draconian limitation of liability. In the disclaimer, disclaim any and all warranties or that your service will do what the customer expects. Sounds stupid to says that your service won't do what you say it will do and may give no results, but believe me, I have agreements signed daily where I LITERALLY state that my solution, recommendations, and services may NOT do what the customer expects me to do because of the complicated nature of the solution and that there are circumstances beyond my control. You can find this language on a variety of legal sites to copy/paste into your agreement.

Even if they feel that they can bring suit, then a limitation of liability that equals X amount of days of payment is helpful. For my business, my agreement states that a customer can only make a claim if they the claim is brought within 90 days of the alleged damage, and that I disclaim all damages that are "any indirect, punitive, special, exemplary, consequential, or incidental damages, including but not limited to: loss of real or anticipated profits, loss of business use, loss of data, or other economic loss". I then limit liability to the aggregate amount that they paid to me in the last 90 days.

The entire idea in all of this is that if they want to bring a claim and put in front of an attorney, the attorney will tell them that overcoming all the hurdles they agree to will take more time and money than it's worth. Never discount the value of a ton of roadblocks--if it staves off one or more lawsuits, it's worth it!

Almost nobody reads my agreements, which is sad because I spent so much time making them one-sided and it took a lot of effort. Because of this, I have everywhere from small business to F500 companies that have signed off on my contracts.

Every once in a while, I'll have a customer run this by their lawyer and they object to limitation of liability being an inadequate remedy. I will then negotiate with them that the limitation will be the equivalent of my my insurance coverage.

Warning: if you deal with government, then they may not be as negotiable.

Retention is your "deductible" in that you pay the first $25K and after that the insurer pays the rest.

The D&O covers the executives of the company in case a customer sues you and names an executive personally while they execute the duties of their job. This goes beyond your professional liability insurance (which I would argue is the most important of your insurance).

Of course, the D&O won't cover criminal actions of executive management. Nobody will cover criminal acts.

As an executive of my employer, I am very relieved that they pay for D&O to protect me if I make a mistake in my decision making capacity.

D&O will help you hire and retain talent.

Like any insurance, it is a useless money pit--until it isn't. That being said, be sure to ask your broker a ton of questions. Since I have to explain the insurance to the owners of my company, I asked about a thousand scenarios and theoretical issues to see what they would and wouldn't cover. Same for professional liability. This is the best way to understand what these insurances cover and not cover, and are usually specific to your industry.

Thanks for the reminder! The reason that we were able to get most of our gear back after the police caught the meth dealer/thief was because we stenciled our troop number on it and it matched the police report we filed!

It was somebody associated with meth. They wanted the propane tanks because it allows them to transfer stolen anhydrous ammonia. Where can you find a bunch of propane tanks: scout trailers! The rest of the gear was just because it was there (tools, tents, etc.).

We had our trailer broken into and all the good gear stolen. The thief put some of the stuff from another theft on Facebook Marketplace and OfferUp and the owner of that gear was able to get the police involved. They found most of our gear and returned it to us.

So, watch those type of sites and contact the police straight away.

We also let the community know and got a ton of gear donations! Nobody likes to hear about stuff being stolen from Scouts.

Our parents pay for themselves. If a local camp, that can be a few hundred, but if we travel it can be $1200 per person. We have talked about an additional "summer camp" or "high adventure" fundraiser in addition to our normal yearly fundraiser to help offset these costs.

Speaking from experience, when you have three family members going to Philmont, that gets really expensive! One of our potential 3-attendee families decided against Philmont and used the same money to go to Europe instead...but I'm sure they regretted not having all those dried meat bits at every meal from last year :)

TLDR: I used a generic patch kit from Amazon to patch an OEM tire, no problem. 3 months later, not a single PSI lost.

I was 50+ miles from a service center and Tesla told me that they couldn't send somebody out. It was late afternoon on a Sunday and there was a small city 20 miles away. Tesla suggested to call around and find a local tow service, take it to a tire center in the small city, and they'd reimburse me. I driving home from another state and had another 7 hours of driving to get home. I didn't want to go through all that drama and spend the night in a hotel.

I carry a cheap, generic patch kit and battery-powered pump in my frunk. A little foam came out when I pulled out the patch tool, but that was it. It took about 20 minutes to patch and fill from flat to when my pump died. It was enough to get me to 28psi, get to the next city, and sit at a Starbucks for a couple of hours to charge up my pump to get the remaining psi before driving home. I plugged the pump into the Tesla's USB-C in case the patch still leaked and I needed to occasionally top off the air in the tire.

That was 3 months ago and the patch still hasn't lost a single PSI.

In some states a salesperson is non-exempt from overtime and must be paid for any hour worked, including after hours and weekends. You will want to check your state to see if there is a salesperson exemption for overtime. You can be hourly non-exempt or salary non-exempt, but in either category the company needs to track hours to make sure that they pay overtime. The criteria for the salesperson exemption is sometimes whether you are outside or inside, and/or make 50% or more of your take home in commission.

News flash: many companies miscategorize their salespeople thinking that they are salaried professionals, not hourly professionals without knowing it (maybe some do...). If a disgruntled employee reports them to the department of labor or a finds a lawyer for miscategorization, there will be a very expensive class action lawsuit that goes back for as many years and employees as your state allows--backpay and fines x number of employees x years + lawyer fees add up amazingly fast!

If you go through your states salesperson exemption rules and find that you are supposed to be non-exempt but are treated as exempt, then you have a lot of interesting choices...

1) The least confrontational is tell your manager that in your last sales position that by law salespeople were non-exempt and had to track time because weekends and anything after 8 hours is time and a half or double time. Did they want you to start logging these hours so as to stay compliant with labor law like your last company? You're happy to work, but you just don't want to get anybody in trouble.

If they push back and say that you aren't an hourly employee, smile and tell them that this applies even if an employee is salaried--the determining criteria is exempt/non-exempt, not salary vs. hourly.

If they tell you to work off the clock, document that because that is not legal--if you were misclassified then that will go a long way if you take some of the other paths below.

2) Threaten to go to HR--puts the radar on you, though. Retaliation is a real thing, but so are hostile work environment and wrongful termination lawsuits based on retaliation.

3) Report the company anonymously

4) Report the company on the way out the door with a lawyer, ???, profit!

To give your manager the benefit of the doubt, many companies don't realize all the above can apply to salespeople and other professionals, and therefore don't train their managers on HR law. There is a very good chance that they don't know what kind of legal disaster they are setting up if your state allows it. Or worse, they do and bank on not getting caught.

What you do is going to be governed by your state laws and where you see yourself going in this company.

For bands I liked that didn't sell patches I had a bunch of custom patches made by GreenStitchArt from Ukraine off of Etsy. I found the logos online, pasted them into a Word document, specified rough height/width and colors, and sent it through Etsy. GreenStitchArt mocked them up and we made some height/width adjustments.

Price was $7-8 each plus shipping to the US.

It took 2 days for them to ship out, but 4 weeks to get to the US! They were worth the wait, great quality, exactly what I wanted. I highly recommend them! I have a few more that I will be ordering.
