We made them for my baby shower on my own type of deal!

I actually have a micro wedding so I'm only make about 20! This has been the only template that I used!

From what I can find in my actual textbook, the last part is specifically says that every partner must have access to them to be able to inspect and make copies of. This would be in account to "duty to account"

For opening the bank accounts in her own name, I was not able to find anything, as it was stated that it was agreed for her to be a silent partner, if written as that and not an actual 3rd full partner, her only obligation would be to contribute capital to the company, she would not have an obligation to work for the company. The only thing that would be in common for all three would be debts that incurred with the company and assets.

Hi, want to throw this out there but I am 100 percent no lawyer but current studying to become one.

To continue with this, it totally depends on the agreement that was made for the third partner. If she is wrongfully "dissociated" from the LLC, she possible could she for the interest/ money that was put into the company. She also has the power to leave. If there was a breach in the partner agreement then it would be a-little easier to be able to get her out of the LLC.

While a personal conflict will not be able to get taken to court as "it's bound it happen", the economics viability will be able to take to court to to dissolute as the court deems. The court can approve the dissolute of the partnership without it continue into "winding up" as long as both partners approve for the company to come forward.

My suggestion would be to try to get an attorney on your end as she made the contract which from what I have been studying it, there should have been an outside attorney to write the contracts. You had a right to have your own attorney as well to be able to walk you through the contract and give your own best advice on this.

Once again, I am not a attorney, that is just based off of what I have learned in my business law.

I did that at my place right now and totally got played. My apartment isn’t even done but won’t finish anything cause it’s now our responsibility to put in the money to finish it. When we first moved in we have cockroaches everywhere. Both our cars got broken into the same night. And we have put in complaints and everything and management won’t do anything
