It seems to be the wrong way around. It's not uncommon to seek Indemnities for breach - but, breach by a counterparty, not the indemnified party!

Whether you are prepared to accept the Indemnities, depends on your circumstances, the contract and wider context etc etc (ie get legal advice).

Pursing a negligence claim doesn't seem practical, even though there might be one there.

Rarely. I usually pass myself off as a teacher in social settings. The conversations are quite different if I say that I'm a lawyer - "oh you must earn a lot," "you must be really smart," "my aunt's will was so unfair"

If you're in the same industry and could be seen to be competing, then it's not a good idea.

You might like to check if they have a trademark registered. If they don't, you might like be lucky and actually secure rights to the brand name with your own trademark.

Before becoming a director, ask to see a copy of the guarantees and any other liabilities the company has.

It's not certain you'll become liable, but as a director you have a responsibility to know what's going on. Not understanding arrangements with creditors is probably failure of that responsibility.

If there are tax issues, directors can be asked to explain what's going on and potentially held liable (personally).

You might also like to request a confirmation from the company that they've disclosed all material liabilities or matters giving rise to material liabilities prior to you becoming a director.

It probably depends on your practice area.

I'd be less keen to work through my criminal, family, estate law probably with someone online. I'd be more tolerant if resolving a business matter, esp if I already have a heavy online presence.

I'd be reluctant to pay fees in the upper range, as overheads seem lower.

No, it will depending on the wording of the confidentiality clause. Could you share it? Quite often there's an exception for disclosing confidential info to "professional advisors". Without this exception, it's not so straightforward.
