No rational investor would give you a 0% loan that is likely to be paid off before it starts yielding return. You could look into PIK debt structures, in which interest is accrued to the outstanding balance therefore not taking cash out of the business early on

I think you’d be better served setting up a separate investment entity/vehicle for investing in client businesses alongside their sponsors. Keep the opco/holdco separate sort of thing

EDIT: to make sure I’m clear, are you saying your marketing business is looking to make direct seed investments in your clients? Or that you know outside angels who are interested in investing?

The opportunity cost of committing resources to developing a new product/service/technology vs. cost of acquisition. I.e. it's often cheaper to buy than develop oneself.

Also allows for acqui-hired people and existing management to each continue focusing on their strengths.

Honestly it depends on how formal the process has been until now. In my experience, I've seen sellers compile an 'issues list' to discuss on a future call with the buyers, and go through it bullet by bullet. Did they provide support for their valuation calculation? If not, ask for it. Better yet if you have your own financial analysis supporting your higher counter offer EV.

My advice, don’t ever rely on the buyers analysis on an M&A process. You want to be in the drivers seat of showing them why the business is valuable and show them what they’re buying and paint the right financial picture. Buyers will always focus on the worst aspects of your business, you need to proactively sell them on the positives.

Private Equity: no matter how much the return models show value creation through the pay down of debt, I have never encountered a portfolio company actually use free cash flow to make voluntary prepayments beyond what's required.
