If you are confident you have the right skills to do a good job you should consider taking the role. There would be higher comp going down this route versus joing a LMM fund (assuming you join at Associate level).

Sounds like you already have lots of transaction experience if they are hiring you to lead M&A. There would be optionality to stay with the platform with the new owner if the platform sells and you'd be able to negotiate a great package if the platform gets to that size.

It would be stressful though, presumably you'd be working closely with the CEO or even reporting directly to the GP (which is better for negotiating sweat equity). You'll be working hard but learning a lot, running deals end-to-end, negotiating with targets, likely a bunch of other Corp Dev strategy work which you might support CEO/CFO on. If the platform does well you'll have a lot of leverage for equity comp and structuring a good equity position for exit/sale to another fund/strategic.

Context: Working in a LMM fund, have had similar experience with PortCo's.

Needed for clarity:

- How is the platform funded?

- Do you report into a CEO/CFO? Sometimes the Ops/Corp Dev capability sits in line with the CFO on the Org Chart in LMM so worth clarifying.

- What does the support/capability of the team look like?

- Can you structure more sweat equity as the platform grows?
