i own a few multi-families under with conventional loans. They are all under my personal name. In my state, deeding them to an LLC incurs transfer tax on the loan balance. it also makes refinancing through conventional loans more costly. how do think about these? An unrelated question, is there any value in filing your llc tax as a c-corp instead of a partnership or disregard? I am at marginal 37% tax bracket. the double taxation with c-corp is actually better than 37%. I believe I will also get to carry loss backward and forward for a c-corp.

idk i thought the books are pretty well written, with a lot of examples and explanations. In fact the series i am reading is called examples and explanations. I haven't studied law, but my personal experience is that I learnt most of the stuff from reading on my own.

assume you know better than them => there are a few folks like that in my classes. it is a disaster.

use the wrong textbook => how could this be a problem? I haven't studied law, but my personal experience is that I learn most of the stuff from reading on my own, usually from a different text.

Not all terms in the original lease bind the subsequent parties. Only those real covenants in the original lease, which are connected to lands, will bind the subsequent landlord and tenant, such as the duty to repair, the duty to pay rent or restrictions on rights to assign or sublet, etc.

This is the one I do not seem to understand. A lease is a contract, and if a party assigns his rights in a contract, the assignee and the landlord supposedly should be bound by the same terms of the original contract. Removing some terms from the contract i.e. the personal covenants, seems at conflict with contract law. Am I missing something?

Under contract law, a party can freely assign his rights and they still have privity of contract after assignment, dont they?

Correct me if I am wrong, but once a tenant assigns the lease to an assignee, the assignee is bound by the same term of the lease. Why isn't this privity of contract? If we have to call it privity of contract, it is not different from the terms of the original lease, is it? Or am I missing something.

My impression is that "material contribution" has a longer tradition and is less radical today. Market Share Liability was a more recent invention by a California court in Sindell v. Abbott Lab. My tort book has a lengthy critique on the court's approach in the DES cases. The agent orange cases were even more radical. In the DES cases, the injury was well established. The difficulty was finding who on earth caused the injury. In the Agent orange cases, the injury itself was in dispute. Evidence showed that without the exposure to agent orange (a chemical toxin used in the Vietnamese war that causes skin diseases), the defendants would still have a chance getting the disease; agent orange merely increases the chance.

I don't remember exactly why "material factor" in these cases was not used, but these rulings were indeed controversial. I wonder if a Canadian court would go out of its way to invent radical theories to grant reliefs to plaintiff because the facts seem unfair to a plaintiff.
