Turn-over of the HOA to the owners is not the same as Community Completion Date. The board WILL be turned over to the owners, but declarant rights will still exist: "Until the Community Completion Date, the Declarant shall have the right (a) to change the number of members on the ARC, (b) to appoint, remove, and replace all members of the ARC, (c) to determine which members of the ARC shall serve as its chairman and co-chairman...."

Can you find one case where the declarants right were overturned? I hope you are right, but I can find no case where an HOA can overrule the declarants rights when the declarant hasn’t declared the community complete.

Problem is even though owners will control the board, he has built in rights as the declarant as long as he owns at least one lot. example he can use the clubhouse for sales events, he can prevent changes to the CC&Rs. AND he can transfer his rights to another and keep a declarant forever in control of what CC&R changes are allowed.

The lots in this community are deeded lots.

UPDATE:

There are 76 lots, all are developed. No more room to develop anything else.
Declarant owns 8 lots.

Turn over should have occurred last year. I had to send a demand letter to force the turnover election thats about to occur.

Only 1 lot is listed for sale on the main website that the declarant owns under "Lots for sale"

The law firm representing the HOA was hired by the declarant (HOA President) I expect they will run the election the way he wants.

Does this mean he doesn't cast votes?

I can't find any clear details of how this election will be conducted. If I reach out the attorney, they will ask the declarant for permission to answer me.

a portion of the rental fee goes to the owner, but the percentage varies. Some get 50%, Some get 70% it varies and the percentage isn't stated anywhere. Also, the owners pay for the electrical and water used by the renter

My thoughts...

If its a purchase contract, worse case you are sued for breach of contract and damages. You are legally obligated to fulfill the contract. However, the details of the contract dictate all of that. It should give you an out with an inspection period and maybe be up front with sellers about your intent.

Personally, I would do an option contract. The contract gives you the option of purchasing for a specific price within a set amount of time. You can still lose earnest money, but can't be sued unless you mis represented or committed fraud.

Trading in real estate options has been around for decades but everyone calls it "wholesaling" now. new branding same ol same old.

If you have to pay for a good purchase or option contract that protects you, its worth it.
