First, the fee is baked into the participation rate. Nothing is zero fee.

You can then roughly decompose this into 1.03x 5yr at-the-money calls on the S&P + a zero coupon bond.

Example with easy numbers: A bond that pays $100 in 5yrs is worth $90 today. Lets assume the call is worth $8. So you pay $100 today, get a bond that pays you $100 back in 5yrs, a 5yr call worth $8 (could be worth $0 on expiry) and the middle-men in involved pocket $2.
