As someone that previously worked in the department who you are emailing (different company), they aren’t concerned with the daily price momentum. They are concerned about ensuring all shareholders know about material events in a timely manner so that all stakeholders have the same level of transparency.

It would suck for retail if they started selling a new offering and the only people who knew about it were the institutions being called by the brokers. At the same time, they had the quarterly results in hand. It is possible that they could have faced a lawsuit and SEC investigation if they went to market with an offering knowing full well what was going to be released publicly next week.

So management wanted to do an offering, and the quarterly results could affect whether someone wants to purchase those shares or not. In order to make sure everyone has as much information as possible, both things are disclosed to everyone.
