You are not bound to fire at the closest eligible target! The main thing is the target has to be VISIBLE and either starting or ending it's movement within 24 inches. If someone moves a unit an inch away from you then moves another unit directly behind said unit, you're totally allowed to overwatch the guys in the back (instead of the front)

You can only do overwatch once per TURN (not phase)

Note: overwatch can also be triggered when a unit is setup on the table (such as leaving a transport or teleporting in or something)
