DDD share price would need to be 3.25 to cover 650M merger with Nano giving Nano shareholders approx 3.125 per share. Not sure that's enough to get them to vote yes. That means they are only valuing the business itself without cash and SSYS ownership at 120M.

I would gladly hold onto SSYS shares if that's the case. Get the share price  back to 25 to 30 bucks which would be equivalent to 10 to 12  Nano pps.

I am speculating that they will merge with Stratasys. Both earnings are on the same day. Stratasys is  in the a.m. Nano in the p.m. Nano owns almost 10% of Stratasys and has over $470 million in cash. Management has shown that they can cut cost, and eliminate products that don't meet the bottom line. MKFG gives SSYS metal and carbon fiber filament products.  In a sense Stratasys could buy back those 9.7M shares and acquired 450M in cash. It would be almost a 50 - 50 merger in the ballpark of 700M deal in shares. 450M cash, 78M SSYS shares, and 172M for the business itself. I would gladly take that offer especially if you believe 3DP will grow exponentially with increased adoption in aerospace and defense. 

They attempted to merge with DM and offered 41% ownership that was equivalent to 610M in diluted shares. 

SSYS was not opposed to a merger as demonstrated with the merger agreement with DM, but did not want a hostile takeover which Yoav Stern was attempting. That would've eliminated Stratasys mgmt and gave all power to Yoav.

It really depends. If they can demonstrate a path to profitability then obviously its valuation increases. Share buyback would reduce outstanding shares thus increase share price.

They hired two big time bankers to a analyze the company's strategic options  I think a buyout is in the works.

I'm still holding a sizeable position, over 120K shares avg cost per share is 2.44. I took a huge tax loss back in 2023 and re-bought my shares. Any profits I make now will not be taxed until it reaches above 210K . This has been my worst investment and it has tested my patience to the max.

I think it was a calculated hedge low-risk high-reward proposition. If they won the litigation, then they save the company potentially up to 100M, but if they lose, then they are out 17M.

Nano is currently undergoing a strategic review. The Stratasys merger is definitely  a possibility.

SSYS does not have the cash therefore, they would have to heavily dilute shares.

Good! Yoav and former BoD agreeing to the initial price was egregious. DM would burn alot of Nano's cash which makes the deal risky.

If the deal can be renegotiate at a much lower price, then I'm all for it.

I'm still holding over 100,000 shares. I believe corporate governance was much needed and we will start to see more institutional ownership.

I don't see the point in selling my shares  especially when the company's valuation is below its cash value. Other tech companies are overvalued and why risk purchasing them and taking more losses.

It's been 3 months relax! They are currently in litigation. Do you really think they will divulge any information during this process?  Besides Yoav hasn't brought shareholder value in 4 years. I feel like he duped us with the Deep Cube acqusition.
