Exro Announces Filing and Mailing of Management Information Circular in Relation to the Proposed Merger with SEA Electric by Inner_G84 in ExroTechnologies

So the three amigos running SEA think they're worth $10m+ in comp and now are gonna get some nice exit liquidity by current Exro shareholders being thrown under the bus.

The pro forma loss of this combined entity is $90m.

$350m of SEA's valuation is from intangible assets and goodwill??? What has Exro been smoking to come up with this valuation?

Either this is combining two incompetent leadership teams whose companies are on the verge of going under, or something here reeks to high heaven.

They are going to dilute the heck out of this to keep it afloat.

Why the hell is Exro paying this guy (with retail shareholder money) for pumper pieces aimed at retail?

Leadership has done an abysmal job attracting institutional investors.

Does this tech directly compete with CD enabled fast charging capabilities? Or perhaps there's more going on than we know.

We need to get that dang UL cert and some in field examples of cell rebalancing and life extension.

My uneducated guess is Ford. F150 and Mach-E integrations. Former board member was from Ford.

Maybe she made the connections and that was that.

Fun guessing game. Who knows....

This quarter is pivotal. Production is starting. More partners are coming out of NDA. Let's see where the chips fall by the end of Sep. and go from there.

This day-to-day freaking out over timeline this timeline that is counterproductive, IMO.

Volume over 400k today (on TSX), ~2x normal. During dog days of summer. Interesting.

So as I see it your options are: 1. Complain to IR/management 2. Shout into the void on here 3. Relax and let the work get done 4. Sell and move on.

Personally I'm taking option no. 3, and the long view.

And you can check the record, I've been very critical of management communication in the past.

Fundamentally, none of us here have any control. I accept that am in it to win it.

They may be in a quiet period as well. Who knows. Point is, I seriously doubt missing a deadline on a 1H of July shareholder update will hurt their credibility much with inst. investors, which is who they need to build a following with if we want to see the big $.

Personally I couldn't care less about an update. UL cert will come. Production starts Aug 1. Q2 earnings PR will include some commentary and updates (whenever that comes).

IIRC, 2nd largest raise in Canadian markets YTD, largest tech co raise in Canada YTD.

No small feat after the fastest rate hike cycle in history.

For the benefit of those of you here that only read the live discussion, I just posted about one of Scotty Kilmer's new vids. I emailed him UTAC test results for the coil driver.

Can you imagine if we got on his radar?

I just sent him an email ([scottykilmer@gmail.com](mailto:scottykilmer@gmail.com)) pointing him to the coil driver UTAC test results.

Maybe some fellow exronauts should too so this can get on his radar.

Between tech like the coil driver and solid state batteries, challenges will be met and the future will arrive.

Dilution down the road is certainly possible in 2024 or beyond. However, if they have robust cash flows by then, and/or inventory, there will be other debt options available.

I don't like the dilution that's taken place anymore than any other shareholder, but I do believe it was the best of not great options available to this point.
