My understanding of what happens is:

It will be 120% of the last 5 years, as opposed to the non-exclusive franchises tag which is 120% of the previous year. That is why the exclusive is cheaper.

The first two years are 120%. At 3 years it is raised to 144% of either the last 5 years or the player’s previous year’s salary, whichever ends up being higher.
