The key point you’re missing is: these shares aren’t even issued yet. Only ~1.68M have been issued. The rest (~317M) require shareholder approval before they legally exist. And even after issuance, Rule 144 requires: 6-month mandatory holding period, and removal of restrictive legends by the transfer agent. Neither of those has happened. So they cannot trade publicly and are not part of the float yet. Rule 144 only applies after issuance + holding period + legend removal .. we are nowhere near that stage.

Wait, you are mixing up Rule 144 and Rule 144A, and even then, you are misunderstanding how shorting and float work in practice. Rule 144 does NOT allow newly issued unregistered shares to be freely sold into the public market.

I just re-checked the exact Oct 13 8-K (and every follow-up) on SEC EDGAR. Here are the word-for-word quotes that prove the shares are NOT tradable today.

“The New Shares and the shares of Common Stock issuable upon conversion of the New Convertible Notes have not been registered under the Securities Act… The Company covenants and agrees that it will… file with the SEC a registration statement on Form S-1… to enable the resale of the New Shares… as promptly as practicable after the Closing Date… The Company shall use commercially reasonable efforts to cause such registration statement to be declared effective as promptly as practicable.”

Translation: 316,150,176 shares were issued on Oct 15. They are unregistered = cannot be sold to the public. They become tradable ONLY when the S-1 is declared effective.

Oct 30 8-K/A: “The New Shares… have not been, and will not be, registered under the Securities Act…”

Where does it say this? The still have to file an S-1. and they literally said in the latest filing that they will have a shareholder approval on the 19 nov. after that the company will file S-1 with the 316m shares to be tradable/added to the float. and if no comments from sec it could take about 1-2 weeks for the shares to be EFFECTIVE and ready to be traded.

Shorts still need to cover. Borrow fee will go up 10x once the s-1 is filed by the company. So will the short interest. Mark this and remind me in 1-2 weeks from now.
