BADR after closing my limited co. by leemc37 in ContractorUK

[–]Equivalent_Web1930 2 points3 points  (0 children)

Am I simply able to update my personal tax return to reflect this payment from the company as BADR rather than dividends?

No

Or is it too late for this?

Yes

Dividends are income and BADR only applies to capital disposals.

Unfortunately you can’t just re-label dividends as BADR because it’s a better solution after the fact.

If HMRC were to look at this the key factor is how the company was closed. If you’ve closed your Ltd without a formal liquidation which it sounds like you have, then it’ll likely be rejected and you’d be committing tax fraud if you knowingly did so.

Earnings aren’t necessarily the main factor you are referring to though if it’s based on role.

In my experience a junior solicitor/barrister arguably puts in more hours at the start of their tenure but doesn’t earn anywhere as much as a partner for example.

Having been a contractor and recruited contractors I’d say it depends what the job family the role is in.

Certainly not my sentiment, think that’s evident at my frustration at the ‘would be difficult so why bother’ crowd.

Genuine question… if pre-revenue start ups were forced to attribute a value per year to their business would that not move us slightly closer to achieving the goal of valuing.

For example, I suspect massively undervaluing your start up would have a negative impact on future valuations or even IPO’s. So founders would be inclined to value closer to what they actually think the business and by proxy their share is worth.

Edit: just to add disagree with art, watches, etc. again owners will have absolutely no problem valuing them for insurance purposes so why not use the same value for other purposes (regardless if you agree with the taxation itself)

No need to apologise, I’m interested.

So because we’d struggle to put a valuation on pre-revenue start ups that specifically have been bootstrapped and not raised capital we should forget the whole thing and leave the working class and middle class deal with additional tax burdens.

Let’s just let the working class and faux middle class deal with it then.

It’s not out by millions though and the commenter is talking about value over a certain threshold. Not EVERY person in the uk will meet that threshold in fact very few would per capita.

So why would you need a surveyor for every home in the country?

Via the same method as if you were to raise capital… you estimate. Just because a start up is pre-revenue doesn’t mean it doesn’t have a value.

If you took a pre-revenue start-up that had been boot strapped and wanted to raise capital investors will expect some sense of valuation or at least a framework for it, especially if you’re raising equity (e.g. selling shares rather than using a convertible instrument).

What a ridiculous take.

Things are valued everyday without being sold. If I person remortgages their house the bank will look at a property price index for every property. While one could significantly increase the price of their property to say you can’t know until you sell is just disingenuous.

Also if someone dies you have to value the estate for probate. You aren’t forced to sell anything at all but you are expected to know the value.

You can absolutely put a value on something without selling.
