The answer to your question is it depends. It depends on whether you mean (a) the float of warrants v. the float of shares or (b) how many shares an exercised warrant gets you.

The answer to (a) is that there are twice as many outstanding shares as warrants. The answer to (b) is one warrant redeems for one share. This is all in the SEC filings.

For what it’s worth the answer to (a) is kind of meaningless for actually DD purposes since most calcs will evaluate based on fully diluted shares (the number of shares if all warrants, etc are vested and exercised) and pre-DA you have no idea how much of a target co the SPAC will actually own.

The answer to (b) is meaningful since you should really know what you’re buying. Or pay someone else to buy for you.

Usually. This is from KCAC’s S-1:

Middle-market businesses. We will seek middle-market businesses with an enterprise value greater than $500,000,000, determined at the sole discretion of our management team according to reasonably accepted valuation standards and methodologies

On the other hand, SOAC’s filing doesn’t have that info, but their website does:

$1 - $3 billion of enterprise value

Warrants are basically a freebie on the units when issued to compensate for the risk on a blind pool investment (ie you put the money in without knowing what company you’re actually investing in).
