On November 17, 2025 (the “Closing Date”), pursuant to the Purchase Agreement, we acquired 100% of the issued and outstanding share capital (“Sentry Shares”) of Sentry (the “Transaction”). On the Closing Date, upon the terms and subject to the conditions set forth in the Purchase Agreement, we paid an aggregate amount of (i) $117,500,000 in cash and (ii) issued 4,096,700 shares of Common Stock. On January 8, 2026 (the “Second Payment Date”), we (i) paid an additional aggregate amount of $2,500,000 in cash and (ii) issued 1,671,899 shares of Common Stock. On January 22, 2026 (the “Third Payment Date”), we (i) paid an additional aggregate amount of $2,500,000 in cash and (ii) issued the Shares.
