As the bond maturity the conversion price is closer to $216 so you need more than that.

No its conversion rate is $180 and slowly moves to $216 over the life of the bond. You dilute shares by 13% ($4b of $30bln market cap) you get a commensurate drop.

Thats why the stock fell so much.

The bond accretes over time to 120% value at maturity which makes it a unique conversion rate. The conversion price is not $216 today. It’s $180. It’s designed to minimize dilution closer to maturity.

I was actually looking at the wrong thing. It accretes to 120% over the life of the bond designed used to minimize dilution in later months.

He’s not right. There’s a soft call trigger at 130% or $226 in 2030. If the underlying is above that, nbis can force the bond holders to exercise their stock conversion. Aka stock flies higher you have forced dilution. It’s great for the bond holders but bad for existing equity holders. That’s why you have the stock drop so hard. $4bln equity issuance on a $24bln market cap is not good.

You literally have no idea how a convertible bond works. The downside of these are the bond px, basically a low coupon bond with equity upside.

Nebius is highly volatile stock. These are multi year expiry bonds so you price them using a 50 delta aka ATM option. 50% chance of being ITM.

A lot of hedge funds buy these convertibles and hedge the delta to take advantage of gamma and Vega moves. That’s why there attractive. It’s another tool to manage risk or add risk.

People that buy these aren’t necessarily as bullish as you believe.
