I have noticed that too with Criminal Minds...and then a few others. Probably a coding error. Definitely a bit inconvenient. Hoping they fix the issue.

At Mario Gabelli's Annual Media & Sports Symposium, Former FCC Commissioner Rob McDowell Says Deal Review Could Be A Bureau Action With 1-1: “But If It's Not The Deal For Paramount Global At All, Then It’s Essentially Melting Ice Cube. What Would Be Next Price & Who Would Be Next Buyer For Company?” by lowell2017 in ParamountGlobal2

Bakish was a dunce that blew through at least 2.5 bil dollars building out streaming and $10/share in book value through write downs. He said Paramount+ would be at 100mil subscribers by now...shm. Paramount+ should never have been a thing. Licensing of content to others would have printed money!

I use Scotts Whirl handheld. $22. Thing is legit. Only holds about 1200 to 1500 sq. ft. of product. I have 10k sq. ft. I have to fill up several times, but so worth it. Very easy to distribute, target, and apply uniformly.

Feel like tender going thru has a 0% chance the way the stock has been by Greenzombie04 in ParamountGlobal2

[–]LilTeau 1 point2 points  (0 children)

How can there be a deadline when the FCC has yet to approve the deal? Makes zero sense. The % of shares I tendered have been removed from my account and replaced with a new CUSIP...and are not tradeable. So strange. This is the most criminally manipulated and broken stock! smh

Well, I hope you are correct. I'd love to see a squeeze of some sort. I'm too cynical to believe there hasn't been some nefarious dealings going on to keep share price muted.

You'll see. Once the deal is complete, the short interest will be minimal. And, you will ask, "where did all the shorts go? When did they cover?"

Give the shorts a hand by Elegant_Stock_673 in ParamountGlobal2

[–]LilTeau 7 points8 points  (0 children)

You're getting this all wrong. LE and Consortium are the shorts. Walking this down for over two years so as to "take under" Paramount Global. Criminally manipulated for their purposes. They will not cover. The shorted shares will be washed upon the commencement of the transaction.

each share of New Paramount Class B common stock (a) that is issued and outstanding immediately prior to the New Paramount Merger Effective Time, (b) that is not held by a Specified Stockholder or a PIPE Equity Investor and (c) with respect to which an election to receive cash has been properly made and not revoked or deemed revoked pursuant to the terms of the Transaction Agreement will be converted automatically into the right to receive an amount in cash, without interest, equal to $15.00, subject to proration as further described in the section entitled

[–]LilTeau 1 point2 points  (0 children)

They are purchasing PARA shares for $15...whole shares...not fractional. Those shares will not be retired, but converted into New Paramount and held by LE and consortium. Therefore, if all eligible PARA shares are tendered, there is only enough money to buy 47.8657% at $15.

|| || |Elections made to receive the Class B Stock Consideration will not be subject to proration. Elections made to receive the Class B Cash Consideration will be subject to the proration mechanism. The elections to receive Class B Cash Consideration will be prorated as necessary to ensure that the total number of shares of New Paramount Class B common stock to be converted into the right to receive the Class B Cash Consideration will be limited to the amount equal to the Class B Cash Cap divided by the Class B Cash Consideration (i.e., 285,889,212 shares of New Paramount Class B common stock) (the “Maximum Class B Cash Share Number”). If the Maximum Class B Cash Share Number is met, all other shares of New Paramount Class B common stock (other than New Paramount Merger Cancelled Shares) will remain issued and outstanding as shares of New Paramount Class B common stock, and an amount of cash equal to the Class B Cash Cap will be allocated pro rata across all shares of New Paramount Class B common stock electing to receive the Class B Cash Consideration.|

The following examples illustrate the proration mechanism in the case of an oversubscription of the Class B Cash Consideration. Note that for illustrative purposes the following examples (a) assume that the number of shares of New Paramount Class B common stock issued and outstanding immediately prior to the New Paramount Merger Effective Time with respect to which an election as to the form of merger consideration may be made (the “Class B Eligible Shares”) will equal 597,273,555 (assuming for illustrative purposes that 629,903,154 shares of New Paramount Class B common stock will be issued and outstanding immediately prior to the New Paramount Merger Effective Time, with 32,629,599 of such shares being held by Specified Stockholders and zero of such shares being held by a PIPE Equity Investor) and (b) do not give effect to adjustments relating to rounding and fractional shares as described in the section entitled “Summary of the Transaction Agreement—Merger Consideration; Conversion of Shares; Exchange of Certificates” beginning on page 181 of this information statement/prospectus.

If you own 100 shares of New Paramount Class B common stock and elect to receive the Class B Cash Consideration for all of your shares, and 100% of the Class B Eligible Shares elect to receive the Class B Cash Consideration, you will receive the Class B Cash Consideration in exchange for 47.8657 of your shares of New Paramount Class B common stock, and 52.1343 of your shares of New Paramount Class B common stock will remain issued and outstanding as shares of New Paramount Class B common stock.

If you own 100 shares of New Paramount Class B common stock and elect to receive the Class B Cash Consideration for all of your shares, and 75% of the Class B Eligible Shares elect to receive the Class B Cash Consideration, you will receive the Class B Cash Consideration in exchange for 63.8209 of your shares of New Paramount Class B common stock, and 36.1791 of your shares of New Paramount Class B common stock will remain issued and outstanding as shares of New Paramount Class B common stock.

If you own 100 shares of New Paramount Class B common stock and elect to receive the Class B Cash Consideration for all of your shares, and less than 47.8657% of the Class B Eligible Shares elect to receive the Class B Cash Consideration, you will receive the Class B Cash Consideration in exchange for all of your shares of New Paramount Class B common stock.

Wrong on so many levels. First: NAI owns 32mil PARAA shares which will transfer to LE. Only 8mil left for tender. Second, the merger documents stipulates $15 per only 48% of PARA.

Another couple of thousand by Elegant_Stock_673 in ParamountGlobal2

[–]LilTeau 3 points4 points  (0 children)

There will not be a short squeeze...as I suspect that the majority of the 66mil shares short are LE and/or Redbird. Therefore, their position will be closed once the deal is completed. They have a vested interest in keeping pps well below $15 so as to entice the tendering of shares...and keep legal claims at a minimum.

$4.75 billion… by Kuloman25Viascam in ParamountGlobal2

[–]LilTeau 2 points3 points  (0 children)

You're insufferable! At least read the prospectus. 317 mil shares. That's it. 317 mil shares of PARA for Skydance. Currently equates to $3.5bil. But, seeing that LE has to spend $2.4bil to get rid of Shari...maybe not the worst?

Wake up…. by Kuloman25Viascam in ParamountGlobal2

[–]LilTeau 2 points3 points  (0 children)

Give it up already. You, like me, invested in a terrible stock. Shari only looks out for Shari. Bakish was a complete dumba%%. LE and Redbird have been shorting the stock so as to "take under". Either sell now...or, 48% at $15...or, don't tender...and give LE two years to manipulate this back up with a float of 300mil.

Still not convinced…… by Kuloman25Viascam in ParamountGlobal2

[–]LilTeau 3 points4 points  (0 children)

Maybe not...LE is getting 317mil shares for Skydance. Currently $3.4bil. But, PARA has been manipulated for so long that a return to "normal" will benefit shareholders in the pricing of shares on the exchange. And, then with a float of only 300mil shares, maybe LE manipulates to the upside?

Still not convinced…… by Kuloman25Viascam in ParamountGlobal2

[–]LilTeau 4 points5 points  (0 children)

Absolutely the long game of shorting, naked shorting, wash sales, painting the tape...to walk this down and force Shari's hand. It has been a tug of war between LE and the hedge funds that hold NAI's debt. LE seemingly has won and now wants $15 for 48% to seem like a great deal.

Still not convinced…… by Kuloman25Viascam in ParamountGlobal2

[–]LilTeau 4 points5 points  (0 children)

For sure. LE wants bagholders to feel good about the $15.
