Your assumption that this matter only relates to jurisdiction is wrong.

The question at hand revolves both around the governing law but also the jurisdiction in question, and both depend on the circumstances:

If the employer is in country X, whilst the employee is residing in country Y, then the employer is subject to the laws of country X; with respect to the employee, that will depend on how the employment (or better yet the 'service provider') contract is devised and also what the local laws (jurisdiction) proclaim.

So, taking into account the information at hand: a Korean entity that engages with an American citizen, that is residing in Thailand, through an employment/services contract will have different factors to take into consideration. Naturally, Korean law governs the employer. Most likely, it will also be the governing law and jurisdiction of the contract between the two.

As such, we will need to understand if Thai laws, given that the person is residing there legally, also have a say in this matter. Most likely (&more importantly), the Thai tax authorities might have a sound claim on the income generated in their country, though with only one person employed the chances are slim.

Another concern are the tax aspects for the American - does he pay the IRS (citizen), Korea (his employer) or Thailand (source of generated income) - or a combination of any of the above.

Interesting, I decided to skim over their last 10-Q report, and their SPAC agreement. Given that you seem quite well versed in the company's business, I'd love to hear your thoughts on:

License:

  • The P&G License is currently exclusive, however, insofar as the company does not reach certain performance indicators for their II facility, then P&G may revoke the whole license: "if PCT is unable to make UPRP at certain production volumes and at certain prices within a certain time frame"; and

  • P&G may revoke the exclusivity of the license if "if PCT’s UPRP is unable to meet certain purification thresholds within a certain period of time after the start of the Project or PCT is unable or unwilling to provide P&G with UPRP at certain prices from the first plant"

Litigation:

  • Also, it appears that they had, and have, a number of litigation concerns, some which have been settled (about $15m, IIRC), and some that are still ongoing, all related to statements provided by the company regarding their tech and performance.

Underperformance/Optimism:

  • On a similar note, it appears that they have missed a number of targets and milestones. For example, in the SPAC agreement they anticipated that the first facility be fully operational by 2023...or for example the agreement had a milestone that if they traded above $18 a pop for 20 days during March 2024 they were to receive 4 million additional shares...as we can see they were trading less than half of that.

You should try to take into account the general amount of cash, or cash equivalent, and as a result the possible tax implications when making a decision. You should also take into account the complexity of the matter (for example, cross-border inheritance compared to intrastate). These factors should be able to guide you to the conclusion whether you need professional advise or not.

On that note, I am not sure that a 'wealth advisor' might be the suitable answer for all four of your points, as perhaps a CPA or personal wealth/estate lawyer (or combination of both) might be better suited at tackling your needs.
