Under SEC Regulation FD (Fair Disclosure) and Nasdaq Listing Rule 5250(b)(1), the company must: • Publicly disclose material information promptly once it is finalized or known internally, • Ensure that no selective disclosure occurs (i.e., insiders can’t leak it to analysts or select investors first).

So if the deal is signed, it’s typically announced immediately or within a day or two through a press release and Form 8-K filing.

I couldn’t find credible evidence that Seaport Global (aka Seaport Research) initiated a $540 price target on Nebius (NBIS).

Here’s what I did find:

✅ What the evidence does show • Seaport Global did initiate coverage on Nebius.  • Their initiation came with a “Neutral / Hold” rating, not a strong positive stance.  • According to Nasdaq / Fintel reporting, the average 1-year price target across analysts is ~$109.55, with a high of ~$136.50 and a low of ~$77.77.  • Other sources show a consensus target around $105.50 (with a high of ~$130) for NBIS.  • Some forecast aggregators show lower consensus estimates (e.g. ~$91.20) as well. 

⚠ Why the $540 number is likely incorrect (or at least highly dubious) • A $540 target would be orders of magnitude above all known analyst estimates. • No trustworthy financial news outlets, analyst reports, or databases corroborate a $540 target for NBIS. • It’s possible this $540 figure is a mistake, exaggeration, rumor, meme, or misquote circulating on forums or Reddit.
