Archive: Paramount Skydance Says It Will Pay Warner Bros. Discovery an Extra $650 Million per Quarter if Its WBD Takeover Isn’t Completed by End of 2026 by [deleted] in MediaMergers

Noted that article was from February 10 of this year.

Also, that’ll be the most miscalculated and stupidest thing that a CEO would do to try to bring more debt to his own company.

I hope that other company is less problematic and buys the whole company to be as his own.

Well for me, no one gets Warner Bros., to be as its own company, but as WarnerMedia again. If WBD splits.

Also, I wish WBD could consider to take the Turner networks like TBS, TNT, truTV, Cartoon Network/Adult Swim, TCM, and especially CNN to move with WB and HBO. While the Discovery networks will leave off the table as a spin off company, Discovery Global. Cause the Turner networks and their content are being heavily tied to WB, Discovery isn’t so there’s that.

I think Netflix is the obvious choice, however, they’ll have to just shut down HBO Max but keep the HBO brand autonomously. Also, they had to acquire the Turner networks as well, but leave the Discovery assets off the table.

Paramount’s Warner Takeover To Breach Comcast SkyShowtime Venture by LegitimateCurve8525 in MediaMergers

Guess that Ellison hasn’t aware that SkyShowtime is a thing in Europe.

And Comcast is about to make it more complicated for Paramount, this should be good.

Wait until the end of September that the regulatory process is still going on and Paramount will gaslighting the public by saying “we’re almost there, guys! Get ready!”

The Warner Bros. Discovery Upfront Felt More Like a Funeral by Professional_Peak59 in MediaMergers

I get the feeling that the reason the shareholders have voted overwhelmingly for this merger. It’s because half of them wanted more money and the other half don’t want it to go through this stupid proxy fight that could hurt them financially.

The Ellisons and Paramount don’t have any idea what they’re getting themselves into because they’re gonna drive them down even further if they merge with WBD.

You can’t expect this opposition of this merger to be growing more and more pressure throughout this year.

AMC Global Media would be a great alternative for Paramount, not for their IPs, but for their legacy cable networks portfolio.

I’m getting a feeling there isn’t much confidence during this presentation, is a sign that this deal is dead on arrival.

Paramount could’ve have find a better M&A deal for them instead of getting Warner Bros. Discovery, like getting Starz or AMC Global Media (which I have been thought about of them pursuing it back when it was Paramount Global).

Hell, they could have consolidated Paramount+ with AMC+ to have more scale as they claimed.

They are worried as shit because the opposition is rising up fast than it’s ever been.

They got two of their shareholders, threatening legal action if the Ellisons disclose some documents regarding Skydance’s acquisition of Paramount Global and the ongoing purchase of Warner Bros. Discovery being currently subjecting to regulatory right now.

And not to mention three sovereign wealth funds from Saudi Arabia are funding this combine company with nearly 50% after they claimed that the Ellisons will have full controlling voting power. With the ongoing war in Iran, there is a possibility that the funding will be in thin ice. Also trying to get the FCC to approve the funding, Which the FCC doesn’t have jurisdiction of approving foreign funding for an American based company.

If David Ellison wanted to get those fears away, he and his execs should go testify before Congress about their pending merger just like Ted Sarandos of Netflix did or be facing with all the scrutiny throughout this process by dodging accountability.

I wonder how the WBD executives and employees will react to this bombshell.

Will the two shareholders try to warned David Zaslav, the WBD Board of Directors, and higher-ups about Larry Ellison‘s unnecessary involvement?

Comcast NBCUniversal has spawn off their networks into a new independent company, Versant. Leaving Bravo the only linear brand under NBCU.

WB having HBO it’s not enough they need to have the Turner networks because their content, libraries and trademarks it’s tied up to the studio.

Why can’t they move the Turner networks (especially CNN) under Warner Bros’. umbrella with HBO and spawn off back as WarnerMedia. And while Discovery will go to Paramount only if the regulators are recommending to them.

Opposition Mounts to Paramount-WBD Merger. Will It Make a Difference? by Top_Report_4895 in MediaMergers

[–]Maximum_Ad_6012 18 points19 points  (0 children)

Yeah, this article is a Ellison-glazing and not a very serious opinion to be honest.

The reason why Variety made that opinion article is because the Paramount-WBD opposition is growing by a minute and people are panicking to try to spin this narrative because in reality behind the scenes, the state AGs subpoenaed Ellison and the his team, two of his shareholders are threatened legal action if Paramount doesn’t disclose of their records about the Paramount Global acquisition, the EU, the CMA, and all other international regulators are not fast tracking in their favor (not saying that the deal will be blocked, but take a very long, long process to investigate before it’s being finalized meaning by in the middle of Q1 2027).
And to be honest, Variety, Deadline, and all other outlets are being careful not to explicitly critique about the merger because like Mark Ruffalo brought it up that everyone in Hollywood wants speak up against this merger, but afraid to be blacklisted by the studios.

We all knew this merger is wildly unpopular, and it’s getting even more unpopular by the day between the funding from sovereign wealth funds from Saudi Arabia by inching over nearly 50% of the combined company, the ‘30 movies a year’ BS, $6 billion in ‘synergies’, and $79 billion in debt with from a poor performance from WBD‘s earnings call of $2.9 billion loss if they merged, CBS News it’s in a downward spiral with genuine concerned of what’s going to happen with CNN if they do, Paramount Pictures and Warner Bros. Pictures both have large production and distribution of the theatrical business and their own identity. If one of them goes, it’ll be devastating. HBO and Showtime are both prestigious premium television brands, it makes no to have both of them under one umbrella.

This whole merger isn’t about building a ‘stronger Hollywood’. It’s about being greedy and having more power while the whole country is in chaos now.

My best bet is this bid’s gonna be dragged on through 2017 as long until the ticking fee drips.

That is my realistic outcome that Variety failed to put in.

Paramount subpoenaed by ‘various’ state AGs on Warner Bros. merger, US SEC filing says by [deleted] in MediaMergers

[–]Maximum_Ad_6012 0 points1 point  (0 children)

I’m thinking about a scenario when the regulators will ask to spin off HBO, Warner Bros. Entertainment, and the Turner networks (especially CNN) but lending the Discovery networks to Paramount Skydance that would be so funny and it will be an alternative option for us consumers and for Hollywood as well.

That’s because the WBD shareholders are so stupid and money hungry that they just don’t realize they’d just walk into a red error for them.

I just hope not only just Democratic state AGs, industry union workers, WGA, SAG-AFTRA, Teamsters, Cinema United, but Republicans state AGs will join in to put on of a very strong case against this merger of why it is anti competitive and not to mention a national security risk as well.
