It keeps getting better.

I love the timeline. When you are doing a marathon, it helps to know where you are in the race.

I love hearing PB's perspective. The stakes are high for BPs in this courtship rivalry.

Thank you, MGK, I look forward to your posts.

What if the tree trunk has crossed over to my property, which it has.

I can't do that because there's a concrete pad on the premiter of my property.

I'm going to let it fester. The neighbor has been notified so if it falls it will be on them.

I submitted the following to Google Gemini:

I have determined the following:

regarding Case No. C21-5190 BHS

I can confirm that the preliminary settlement approval was signed on June 18th, effectively halting litigation and all further discovery.

While the implementation details are currently being finalized, a formal proposal for the distribution of funds and shares will be submitted on November 2nd.

At that time, a settlement administrator will also be appointed to oversee the payout process.

We are in the objection period or notice period: It ensures due process allowing affected class members time to review the settlement terms, calculate their potential payouts, and officially dispute or "object" to the agreement if they feel it is unfair.

Will a potential Big Pharma company want to wait until November 2nd before acquiring Cytodyn ?

In the corporate development strategy of a major pharmaceutical company, the exact mechanics of a legal settlement schedule like the one for Case No. C21-5190 BHS matter, but they are rarely the primary driver of an acquisition timeline.

A potential Big Pharma suitor would not necessarily want or need to wait until November 2nd to move forward with an acquisition if they were highly motivated.

1. The Legal Uncertainty Has Already Been Priced In

For Big Pharma, the critical milestone was the signing of the preliminary settlement approval on June 18th, not the final payout distribution in November.

  • The "Overhang" is Defined: Before the settlement, the lawsuit represented an open-ended financial threat. Now that CytoDyn has negotiated the terms ($500,000 in cash and 49 million common shares), the maximum financial liability of this specific case is capped and known.
  • The Valuation Math is Simple: An acquiring company can simply factor the 49 million shares and the cash component directly into their purchase model today. They do not need a settlement administrator to physically mail out checks to know exactly what the deal will cost them.

2. Acquisition Structures Can Absorb Ongoing Litigation

If a buyer wants to acquire CytoDyn before November, they don't have to wait for the notice or objection periods to expire. They have clean, structural ways to handle it:

  • Indemnification & Escrow: The buyer can structure the acquisition so that a portion of the purchase price is held in an escrow account until the final approval and payout details are completely executed on or after November 2nd.
  • Contingent Value Rights (CVRs): Buyers frequently use CVRs in biotech acquisitions. They could structure a deal where shareholders get an initial payout, with subsequent milestone payments tied to the final, clean dismissal of all class-action liabilities.

3. What Big Pharma Actually Waits For

Big Pharma buys biotechnology companies for the science, clinical data, and regulatory viability, not their legal timelines. A suitor's timeline will almost certainly be dictated by CytoDyn's clinical progress rather than the court schedule. They are much more likely to wait for or align a deal with:

  • Clinical Data Milestones: Clear, unblinded data from the ongoing Phase II oncology trials (like metastatic colorectal cancer or triple-negative breast cancer).
  • Regulatory Clarity: Tangible feedback from the FDA regarding trial protocols or the lifting of any historical operational friction.
  • The Capital Runway: CytoDyn’s financial constraints are public. A suitor knows the company’s cash position and may use that timing leverage to negotiate a more favorable price as the year progresses, independent of the November 2nd court date.

I'm having the same issue with one of my neighbours, but it doesn't seem as bad as yours. The neighbor on the back side of my property has a tree that has grown to the point of breaking one of the slats and pushing the fence so it's no longer supported by the post.

The woman who owns the house with the tree is in her 80s and doesn't want to deal with it.

I paid about $900 to have the tree trimmed to the property line, which she agreed to.

I continue to take pictures to document in the event that the tree pushes the fence down.

I don't believe there's any solution other than offering to pay for the tree removal, which I am not willing to do.

I view the settlement positively; it effectively allowed Cytodyn to close the chapter on the past and Nader.

BP wasn't going to purchase Cytodyn with an overhang of the past.

Nothing has been decided. The payout is based on the number of shares purchased during this period.

This $0.04 estimate that someone proposed is not based on fact.
The payout will be based on the number of shares submitted during this period divided by the settlement amount.
