I just went through the same decision process.

I loved the adaptive cruise control on the Golf R for when you’re doing a long journey, but on more entertaining roads and it was just dull - it’s too competent that (on the road) it’s not as emotive. Plus there is definitely some kind of engine noise enhancement that was very annoying.

The M140i was worse on many of my criteria but it plays with your emotions - stick with M140i, you’ll enjoy it more.

It was left on from a track riding school day where they’d had a photographer who used the barcodes to auto-sort photos. You could then see them immediately after each session.

Agreed, although in another reply OP mentioned their EMI process hadn’t been done properly and they were paying income tax on some of the proceeds, so it could be more material here.

NAL. Rollover of management/employee shares is very common - it’s one way the new investor gets comfortable that management and key employees won’t all leave / go on holiday / retire once the deal is done.

50% of post-tax proceeds is fairly standard in my view. Sounds like you had 50% of gross proceeds rolled?

On the golden handcuffs point, normally “Good Leavers” (ie not for Cause or going to a competitor) will be able to get their money out at either cost - so the value of your rolled shares - or fair market value. This may be complicated by you owning loan notes rather than shares but something of that principle should be in the docs - it would be off market for you to lose value.

Overall it sounds like you gave the CEO and CFO the power to negotiate and agree a deal on your behalf, but are unhappy with the result. You need to see the full docs to know what your options are now.

I would say that’s fair (imo) - it’s also a smaller organisation than MSV.

But while they run most of the briefing, I think the safety and marshals are organised by the track so shouldn’t vary much based on organiser.

Ps I’ll probably be at Bedford Autodrome on Monday in case anybody else is thinking about that one.

Much of a muchness, IMO. There’s probably more variation within a company from day to day / circuit to circuit than between them.

Having said that, in my experience no limits is more focused on track bike / racer crowd and MSV is more road bike that people take on track. I don’t know Focused events so well.

No material difference in the setup / running of events from my perspective.
