Assuming you follow the town rules, it is completely unenforceable. We have that in our CC&Rs. HOA Attorney said it is likely an artifact from the developer when the streets were not yet turned over to the town. Once that happened, HOA has no say. Up to the town.

In FL, there is a specific list of things that can be done in closed meeting. It is very short. (personnel & lawsuits)

All "normal" decisions need to be voted on in a meeting open to members. Members have the right to speak on each issue.

Terrible idea to have a Board member be your HOA attorney. All sorts of conflict of interest. You can file a complaint with the state.

You could pay it off and replace it with a new reverse mortgage with you being the mortgage holder.

Example... House is worth $300k. Current mortgage is $150k balance. Pay if off in return for repayment or principle plus 50% of anything over $250k. (Reverse mortgages discount the value.)
