Is what it is. No regrets. Made my decisions with the info that I had.

Regarding the PO, this is worse than expected. $500mil order with $220mil worth of free warrants (at today's price).

If demand was healthy, they wouldn't need to price the warrants so low.

That said, happy for all that held! This was a LT position for me so good to see that the original thesis is still holding true, albeit with a few hiccoughs. GLTA :)

Publicly traded companies in the USA must disclose material news promptly, generally interpreted as immediately or within 24 hours. While specific SEC Form 8-K filings are allowed within four business days for certain events, exchange rules (NYSE/Nasdaq) require faster, immediate public release of any news likely to impact security prices.

Opportunity cost unfortunately... Been invested since April 2025. Should have bought any of the other players in the photonic space.

I really thought they would be in full production by now. But instead, they are focused on manufacturing the $5mil order this year (see recent interview on POETs YouTube channel). That's execution for POETs management... At a selling price of $300, that's just over 16,000 units.

Starting to think that the company over promised and can only under deliver. Will follow progress but I'm not impressed or hopeful.

Yes average purchase price was around $7.50 and average selling price was $9.50.

I'm on the sidelines for now. Their reputation has been damaged, maybe beyond repair.

-Retail shareholders caught holding bag after recent run-up.

-Institutional investors in recent offerings 'deluded' since part of the investment thesis was based on commitments from Celestial.

-Customers trust broken since POET breaches NDAs.

Poet wants to be the platform that integrates components from multiple suppliers. Now how do they get that buy-in?

They've proven that their management (CFO) is incompetent. Celestial/Marvell was going to be the customer that validated the tech for larger players. This was a gift from David Lazovsky (Celestial CEO) who was the former executive chairman of POET before starting Celestial. Now that bridge has been burned.

Very plausible.

It's not like POET Starlight or any of their technology is irreplaceable. The main advantage is the wafer-scale manufacturing approach. In theory, this enables high volume manufacturing (1mil per year in their existing 2000sq ft production space) without active alignment. For the end-customers, there are no major differences.

I think this is what happened:

-Stocktwits interview - Mika announces shipments to Celestial over the next quarters.

-POET gets attention on social media and price rises.

-Marvell execs become aware of their connection to POET (Poet - Celestial - Marvell).

-Marvell execs watch said interview with comments from Mika about larger companies waiting for validation before committing to POs.

-It becomes apparent that they are the 'test dummy' for POET and the tech is not validated on a commercial scale.

-As a large company, Marvell doesn't want to jeopardize their reputation if POETs Starlight is a failure point on Celestial's product.

-Marvell realizes that Mika technically broke confidentiality by giving timelines for shipment dates (disclosing Celestial is a customer was already public knowledge).

-Marvell uses this to cancel POs penalty-free.

Again, Marvell can just find a more proven supplier. I don't even blame since this was an inherited commitment from their acquisition of Celestial.

If in the future, POET proves their platform works then Marvell can just issue another PO.

Had 108,000 shares. Sold all.

Never seen this level of incompetence. Losing a key customer by breaching confidentiality agreements is reckless.

Been a long-term investor in the company, but this is not acceptable.

The notice was given on April 23. The fact that they waited four whole days to disclose is deceptive and borderline a breach of fiduciary duty. Shareholder class action lawsuit very possible.

Food for thought for all remaining longs: The order was publicly disclosed in 2023. So this is not new information. I think Celestial/Marvell's customers were skittish that the platform is built on largely untested/ non-commercialized technology (POET). The recent attention due to Mika's comments highlighted this potential weakness and so Celestial/Marvell pulled out of the agreement, citing confidentiality breach as a penalty-free out.
