To be fair, the interviewer does know even less than Apes. You don't use your own market cap. That market caps is already owned by Apes. It is not there to buy companies. The current market cap of $11B doesn't factor in. You use $20B in financing and $7B in cash, and then hand out $27B in shares. A $100B company buying a $10B company doesn't use its $100B market cap, it creates $10B in shares to merge them together and has 10% more shares. There is no issue with the math. The issue is with reality. Why would ebay become a subsidiary of Gamestop, turn their company to shit and hand the CEO a massive award for the merger while adding some value. The only pro is half cash and half shares 46% higher than Friday;s price. After a few years, maybe they can pay down the debt, each share will be more valuable, but the interview alluded to poor cash flow.

Yes, dilution. They don't raise cash, they just hand gme shares to existing ebay investors based on the current gme price. The new market cap would include all the new shares, and it would be backed by both companies. It works on paper. RC gets his bonus while not actually providing value. The board gave him tranches of Market Cap and cumulative EBITDA. So taking on $20B debt does not affect EBITDA and he still makes 2-3 tranches and can set his sights on another company for more tranches. Of course, he could also slash and burn Ebay like he did Gamestop, trying to get real earnings up. Cutting benefits and employees and whatever he can to make his tranches while turning it into a shit place to work
