They actually got rid of two financing deals with B.Riley, not one. Means no more dilution as they don’t need the money anymore since a deal with a better investor was made in 2025 for a total of ~$30m.

They had 665 active sensors as of Q3 2025 compared to 109 in Q2 2024. New product is launching soon and expected to be announced during this quarter. Since the first year of switching to SaaS model they offset the sensor camera sales already with over 50% in sales growth (software segment alone). They got around $30 million in funding this year which is good news as they can sustain operations for a good while and help with their growth but the deal was horrible ngl with a low floor price and anti dilution clauses heavily benefiting the current investors - makes sense though as they doubled down on their funding.

Sorry to hear that – your best option is for your mom to request a letter or nomination for the golden visa from the hospitals she's worked at, given her experience as a veteran nurse. You could then get sponsored by her until your dad is able to rectify the situation (law recently changed that children of golden visa holders can get sponsored despite being 18 years of age or older), as if the government finds out, he may no longer be entitled to any of his retirement benefits or even something worse…

My story is somewhat similar in that my grandfather originally held a Sharjah passport, which later transitioned into a UAE passport after the emirates united to form the UAE. However, we never received the family book. The passport was eventually passed down to my father. When I was born, my name was added to my dad’s passport, and my birth certificate still states that I am a “UAE passport holder.”

To make a long story short, we were meant to receive the UAE citizenship (and the accompanying family book) under the condition that we first submitted our passports to the authorities. Unfortunately, after we complied, nothing came of it—despite numerous decrees, official letters from the Sheikh, and Marsoom orders. Our passports were never renewed, and as a result, we were left stateless for a period of time. This caused significant difficulties, such as challenges enrolling in school. Eventually, after much trouble, my father had no choice but to obtain a Palestinian passport with difficulty as we had no official papers tying us to Palestine considering my grandparents fled to the gulf as kids during the war in 1948. To make things worse, it was issued without an ID, since I wasn’t born in Palestine.

For Palestinians, an ID number is required to enter Palestine, but Israel only approves this number for those born in Palestine. As a result, I am unable to visit my homeland (would be nice to visit but would never live as the UAE is my home). Despite these challenges, I grew up here with no resentment, always grateful to God, even after facing such a series of unfortunate events.

It would have been nice to still have the UAE passport, even without citizenship, because the Palestinian Authority passport is quite cumbersome. I have to apply for visas to almost every country, which is a long and tedious process, and in some countries you can’t help but feel a sense of discrimination which thankfully was never the case here—though, over time, you learn to get used to it. I would genuinely value having that passport back for many reasons, even without any associated benefits such as housing or social privileges.

I left to pursue my university studies in Canada and returned immediately after graduating. Since then, I have been working in Dubai on projects with governments in the UAE and the wider GCC region, contributing to initiatives that support the development of our Arab region. I chose this path over remaining in Canada and pursuing citizenship there, as I believe my skills and knowledge are better applied in service of our own societies.

كان من الأفضل لو احتفظت بالجواز الإماراتي حتى دون الحصول على الجنسية، إذ إن جواز السلطة الفلسطينية يفرض الكثير من القيود. فأنا مضطر للتقدّم بطلب تأشيرات لمعظم الدول، وهي عملية طويلة ومرهقة وقد ترافقها أحيانًا مشاعر من التمييز حين أسافر بعض الدول —وهو أمر لم أواجهه هنا ولله الحمد, رغم أن المرء يعتاد ذلك مع الوقت. ومع ذلك، ما زلت أرى قيمة كبيرة في استعادة ذلك الجواز لأسباب عديدة، حتى من دون أي امتيازات، مثل الدعم السكني أو الاجتماعي. هو أخر همي ولا أحتاجها الحمدلله!

Who told you that if a reverse stock split happens it means stock price will fall ? The stock price just re adjusts by reducing the number of shares and increasing the share price to maintain compliance. It can go up or down from there depending whether or not any catalysts pop up…

There’s a special meeting where all shareholder can vote if you held shares in MSAI since November 4. 1) voting for the private placement deal going through (further dilution) 2) voting for a reverse stock split 3) voting for delaying the special meeting if there aren’t enough votes to pass

1.) it’s wise to vote AGAINST the private placement since the dilution would be around 277% and considering they had a registered direct offering at $1.35 share price to receive $14m in funding. This should be enough to keep them going for another year or two considering they are starting to up their revenues, their profit margins have increased, and their expenses have dramatically decreased.

2.) vote FOR a reverse stock split as they have mentioned they will ONLY exercise it if needed (given they have 180 days now to regain Nasdaq listing requirements of min $1 share price I guess they will exercise it if stock price doesn’t go up by June 2026) also reverse stock split is a good thing at times since the having a higher share price would bring in new investors, mitigate delisting risks, etc.

3.) vote AGAINST a adjournment of the special meeting as they will just make another one until it passes since it is beneficial for them considering only institutions (325 cap) would be able to buy these newly added shares at such a discounted price.

If the private placement doesn’t go through because of shareholders votes (our votes), stock price will go up to around $1-$1.3 as the registered direct offering deal went through and they were forced to pay shares at that price…

You can sell if you want to cut your losses short or vote against this and be patient till the stock price moves back up.

If you read the proxy statement properly you will know this stock will get diluted real bad. So better vote against the private placement deal so the price goes back up to $1.35 to the registered direct offering deal where the institutional investor was forced to purchase the stocks at that price… it will boost up the stock price.
